Item 5 – Fees and Compensation M2G’s Clients are generally qualified purchasers, as defined in section 2(a)(51)(A) of the Investment Company Act of 1940, as amended (“Investment Company Act”). As such, a detailed Client fee schedule is not included in this Brochure. However, Clients pay some or all of the fees and expenses described below. As the investment adviser to its Clients, M2G will receive a management fee, payable quarterly in arrears, as outlined in the respective Partnership Agreement and/or Memorandum. The management fees range from 1.5% to 2.0% annually of committed or invested capital, as specified in the applicable Partnership Agreement for each Client. In addition to management and performance fees, the Funds invest in Special Purpose Vehicles (“SPV’s”) that hold real estate investments that pay the following fees to M2G or affiliated entities: a. Property Management Fee b. Asset Management Fee c. Development Fee d. Tenant Coordination Fee e. Tenant Construction Fes f. Construction Management Fee g. Self-Managed Contractor Fee h. Acquisition Fee i. Onboarding & Tech Fee j. Accounting Service Fee k. Disposition Fee l. Marketing Fee m. Leasing Override Fee n. Deal Specific Oversight Fee A full description of the calculation and terms of the management fees is provided in the relevant Partnership Agreement and/or Memorandum. Management fees can vary by Client. Clients may use one or more credit facilities in order to make investments, pay management fees, or pay expenses through borrowings in lieu of, or in advance of, capital contributions, as further described in the applicable Partnership Agreement and/or Memorandum. Any such credit facilities may be secured by the capital commitments of Client investors or by the assets of the applicable Client. In certain circumstances, M2G may waive or reduce management fees and carried interest for certain Client investors including, but not limited to, for example, employees and directors (current and former) and certain M2G affiliated entities. More detailed information about specific fees and expenses that Clients may pay is provided in the applicable Partnership Agreement, and/or Memorandum. Any such exemption from fees and/or carried interest may be made by a direct exemption, or a rebate by M2G and/or its affiliates. Certain Client expenses may be subject to a management fee offset in accordance with the applicable Partnership Agreement and/or Memorandum. Client investors generally are not permitted to withdraw or redeem interests in the Clients without the consent of the general partner pursuant to the Partnership Agreement.. M2G or an affiliate, usually the General Partner of the relevant Client, may also receive performance- based compensation and/or carried interest of up to 50% or profits from relevant Clients, as further described in the relevant Partnership Agreement and/or Memorandum. Performance based fees and/or carried interest can vary by Client. Please see Item 6 of this Brochure for more information on performance-based compensation, promote and/or carried interest expected to be received from Clients by M2G or its affiliate(s). With respect to performance- based compensation, promote and/or carried interest that may be payable by certain Clients before the disposition of every investment made by such Client, such fees may be subject to a “clawback” depending on the final overall performance of that Client; alternatively, any loss incurred by the Client may be carried forward so that no performance-based compensation and/or carried interest is owed to M2G unless and until losses incurred by such Client during a prior period or periods have been recouped, subject to certain adjustments such as preferred returns for investors. The Clients will bear (or cause the General Partner or M2G to be reimbursed for) all expenses of the organization of the Partnership and the marketing and offering of Interests (including legal and accounting fees, printing costs, travel, “blue sky” and other regulatory filing fees and expenses and out-of-pocket expenses, but not including placement fees) (collectively, “Organizational Expenses”). The Clients will pay (or will reimburse the General Partner and/or M2G and their respective partners, members, managers, officers or employees) for all costs, expenses, liabilities and obligations relating to the Partnership’s activities, investments and business (collectively, “Partnership Expenses”), including, without limitation: (i) Organizational Expenses; (ii) all costs and expenses of the Partnership, the General Partner, M2G or their respective partners, members, managers, officers or employees attributable to or related to sourcing, identifying, evaluating, negotiating, documenting, acquiring, holding and disposing of prospective and actual Investments (whether or not consummated), including reasonable travel relating to actual or prospective Investments, legal, accounting, auditing, consulting and brokerage, and other reasonable fees and expenses, financing commitment fees, filing fees, closing costs and transfer taxes; (iii) all costs and expenses charged to the Partnership by any real estate project, including, without limitation, for any of the costs, expenses, liabilities and obligations described herein that are incurred by the SPV (but without duplication of such charges), including, without limitation, any property management fees (including fees paid to third-party property managers), promote, carried interest or other profit-based compensation paid to M2G Affiliates (including M2G Affiliate Fees); (iv) transfer, registration and similar expenses incurred by the Partnership; (v) internal and external accounting, audit and tax preparation expenses; (vi) administrative fees, costs and expenses related to the operation of the Partnership, including the ... |

Item 7 – Types of Clients As noted above, M2G provides investment advice directly to its Clients. The Clients may include investment partnerships or other investment entities formed under domestic or foreign laws and operated as exempt investment pools under the Investment Company Act. The investors participating in the Clients may include individuals, banks or thrift institutions, other investment entities, university endowments, sovereign wealth funds, family offices, pension and profit-sharing plans, trusts, estates or charitable organizations, or other corporations or business entities and may include, directly or indirectly, principals or other employees of M2G and its affiliates and members of their families or other service providers retained by M2G. With limited exception where permitted by applicable law, investors in M2G’sClients may be persons and entities who or which are “accredited investors,” as defined under Rule 501(a) of Regulation D under the Securities Act of 1933. |
