Item 5 –Fees and Compensation Portfolio Management Services Our fee for portfolio management services is based on a percentage of the assets in your account and is set forth in each client’s Investment Advisory Agreement. In no instance would fees ever be charged higher than 1.15% annually. Our typical fee schedule is as follows: Managed Account Total Value Annual Asset Management Fee $0 - $999,999 1.15% $1,000,000 - $1,999,999 1.00% $2,000,000 - $2,999,999 0.85% $3,000,000+ 0.75% Our annual portfolio management fee is billed and payable, quarterly in advance, based on the end of quarter market value of the account. Please note that we calculate our fees through our portfolio accounting system, Advyzon, which has a feed from the custodian. However, the quarter end balance determined by Advyzon, and which we calculate our fees, could be different from your balance on your custodial statement due to timing of corporate actions, accrued interest, and trade settlements. Our advisory fee is negotiable, depending on individual client circumstances, at the firm’s discretion. If the portfolio management agreement is executed at any time other than the first day of a calendar quarter, our fees will apply on a pro rata basis, which means that the advisory fee is payable in proportion to the number of days in the quarter for which you are a client. At our discretion, we may combine the account values of family members living in the same household to determine the applicable advisory fee. For example, we may combine account values for you and your minor children, joint accounts with your spouse, and other types of related accounts. Combining account values may increase the asset total, which may result in your paying a reduced advisory fee based on the available breakpoints in our fee schedule stated above. We will deduct our fee directly from your account through the qualified custodian holding your funds and securities. We will deduct our advisory fee only when you have given our firm written authorization permitting the fees to be paid directly from your account. Further, the qualified custodian will deliver an account statement to you at least quarterly. These account statements will show all disbursements from your account. We encourage you to reconcile our invoices with the statement(s) you receive from the qualified custodian. You may terminate the portfolio management agreement at any time. If you have pre-paid advisory fees that we have not yet earned, you will receive a prorated refund of those fees. Financial Planning Services Typically, we include financial planning as part of our advisory services. When appropriate, we charge a fixed fee for standalone financial planning services, which generally ranges between $1,500 and $5,000. The fee is negotiable depending upon the complexity and scope of the plan, your financial situation, and your objectives. We do not require you to pay fees six or more months in advance. Should the engagement last longer than six months between acceptance of financial planning agreement and delivery of the financial plan, any prepaid unearned fees will be promptly returned to you less a pro rata charge for bona fide financial planning services rendered to date. Financial Consulting Services We charge a fixed fee for financial consulting services. Fixed fees are negotiable and range widely, depending on the scope and complexity of services rendered. Our consulting fee is payable upon completion of the agreed upon consulting services. Pension Consulting Services Our advisory fees for these customized services will be negotiated with the plan sponsor or named fiduciary on a case-by-case basis. You may terminate the pension consulting services agreement upon 30 days’ notice to our firm. You will incur a pro rata charge for services rendered prior to the termination of the agreement, which means you will incur advisory fees only in proportion to the number of days in the quarter for which you are a client. If you have pre-paid advisory fees that we have not yet earned, you will receive a prorated refund of those fees. Management Services to Pooled Investment Vehicles LBIC serves as the Investment Manager or Investment Adviser to the Funds. Typically, the Investment Manager or Investment Adviser is responsible for the management, operation and control of the investment activities of the Funds, to the extent provided in the Partnership Agreement and Management Agreement. The Investment Manager's primary functions will be to identify, analyze and select potential Portfolio Investments. Each Limited Partner will pay to the Partnership, and the Partnership will pay to the Investment Manager an annual management fee (the "Management Fee") equal to one percent (1%) of such Limited Partner's aggregate subscription amount. The Management Fee will be calculated and payable annually in advance for each calendar year. The General Partner may waive or reduce the Management Fee with respect to any Limited Partner. Additional Fees and Expenses As part of our investment advisory services to you, we may invest, or recommend that you invest, in mutual funds and exchange traded funds. The fees that you pay to our firm for investment advisory services are separate and distinct from the fees and expenses charged by mutual funds or exchange traded funds (described in each fund's prospectus) to their shareholders. These fees will generally include a management fee and other fund expenses. Fees can also include professional fees, audit fees and research fees.
