Item 5 Fees and Compensation
Separately Managed Accounts
MainLine West Fund Manager charges a management fee (“Management Fee”) for investment advisory
services provided to separately managed accounts. We calculate the Management Fee as a percentage of
assets under management (AUM), typically based on the account value as of the last business day of the
applicable billing period, unless otherwise specified in the Client’s agreement. We deduct fees semi-
annually in arrears directly from Client accounts, in accordance with the terms outlined in the negotiated
and executed Investment Management Agreement. Each Client agreement clearly defines the fee structure,
applicable rates, calculation method, and billing procedures.
Private Pooled Investment Vehicles
MainLine West Fund Manager charges a quarterly Management Fee in arrears for advisory services
provided to its private pooled investment vehicles (the “Funds”). We calculate and assess these fees
according to each Fund’s Operating Agreement. In general, we charge Class B investors 1.00% per annum
and Class A investors 0.75% per annum. We typically base the fee on the greater of the investor’s capital
commitment or net capital contributions to the Fund. At our discretion, we may choose to waive or reduce
the Management Fee for certain Limited Partners. The Funds bear responsibility for their own operating
and administrative expenses, which may include but are not limited to:
• Legal, accounting, audit, and other professional fees
• Administrative and operational expenses
• Research-related costs, including third-party consultants
• Insurance and bonding expenses
• Regulatory registration, qualification, and compliance costs
• Investment-related expenses such as brokerage commissions, margin interest, and custodial fees
• Indemnification costs, litigation expenses, and other extraordinary items
• Fees and expenses of any sub-advisers engaged by the Fund
These expenses are described in greater detail in each Fund’s Offering Documents, which all investors are
required to review prior to investment.
Terminated Accounts
Advisory agreements between the Firm and its Clients remain in effect until terminated by either party,
which may be done via written or verbal notice (including email). Upon termination, MainLine West Fund
Manager has no further obligation to provide investment advice or take action regarding the account’s
assets. If a Client has prepaid fees that remain unearned as of the termination date, such fees will generally
be refunded promptly. However, the Firm reserves the right not to refund fees that fall below a de minimis
threshold of $100.00 or in other limited circumstances as disclosed in the Client’s agreement. |

Item 7 Types of Clients
As described in Item 4 – Advisory Business of this Brochure, MainLine West Fund Manager provides
investment advisory services to the following types of clients:
• Separately Managed Accounts (SMAs): The Firm provides investment advisory services through
separately managed accounts for a range of retail and institutional clients, which may include high-
net-worth individuals, families, trusts, private foundations, and other entities such as institutions or
privately held businesses.
• Private Pooled Investment Vehicles (the “Funds”): MainLine West Fund Manager offers the Funds
on a private placement basis to accredited investors and qualified purchasers, as defined under
applicable federal securities laws.
Each Client is required to enter into a written investment advisory agreement with the Firm prior to the
commencement of services. This agreement sets forth the terms and conditions of the advisory relationship,
including the scope of engagement, fee arrangements, investment guidelines, and the responsibilities of
both parties. Minimum investment requirements, where applicable, are generally outlined in the Firm’s
Investment Management Agreements or in each Fund’s Offering Documents. The Firm may, in its
discretion, choose to waive or modify these minimums. |
