Item 5. Fees and Compensation
FEES FOR INDIVIDUAL PORTFOLIO MANAGEMENT
The annual fee for our individual portfolio management service is charged as a percentage of assets under
management with MWM according to the following schedules:

Our management fees are assessed quarterly, in advance, at the beginning of each quarter. Thus, clients
are charged ¼ of their annual advisory fee each three-month period. The fee is based upon the value
(market value or fair market value in the absence of market value), of the client's account on the last day
of the previous three-month period. Clients will be invoiced or have their fees debited from their account
in accordance with client authorization.

If the IMA is executed at any time other than the first day of a calendar quarter, our fees will apply on a
pro-rata basis, which means that the advisory fee is payable in proportion to the number of days in the
quarter for which you are a client. Fees may be subsequently adjusted at the end of any calendar quarter
to reflect all additions to, or withdrawals from, the account at Advisors discretion. Any such adjustments
will be made on a pro rata basis during the calendar quarter for which the adjustment is made.
A minimum of $350,000 of assets under management is required to open an individual portfolio
management account with MWM. This minimum account size may be negotiable under certain
circumstances. We may group certain related client accounts for the purposes of achieving the minimum
account value requirement. Once an account is accepted, there are no specific minimum account
requirements for maintaining an account. Further, there are no minimum fee requirements.
At our discretion, we may combine the account values of family members living in the same household to
determine the applicable advisory fee. For example, we may combine account values for you and your
minor children, joint accounts with your spouse, and other types of related accounts. Combining account
values may increase the asset total, which may result in you paying a reduced advisory fee compared to
each account considered individually. At our discretion, we may elect to reduce or waive certain investment
management fees contained in the IMA.
We do not require prepayment of any fee more than six months in advance and in excess of $1,200. We
do not charge “Performance Based Fees” which are fees based on a share of capital gains upon, or capital
appreciation of, the funds, or any portion of the funds of an advisory client.
Unless we agree to other payment arrangements, the IMA provides that we will deduct our fee directly
from your account through the qualified custodian holding your funds and securities. We will deduct our
advisory fee only when the following requirements are met:
• You provide our firm with written authorization permitting the fees to be paid directly from your
account held by the qualified custodian.
• The qualified custodian agrees to send you a statement, at least quarterly, indicating all amounts
dispersed from your account including the amount of the advisory fee paid directly to our firm.
The Investment Advisory Agreement may be terminated at any time by either party upon written notice.
If a client terminates an account before the end of a calendar quarter that has already been billed in advance,
the client will receive a refund for any prepaid, unused fees. If a client terminates an account that is billed
in arrears, the client will promptly pay MWM for earned management fees.
If our disclosure Brochure - Part 2 of the Form ADV - is not delivered to you within 48 hours prior to
you entering into the investment management agreement, you may terminate the agreement within 5
business days of the date of acceptance without any penalty. Where you received the disclosure documents
48 hours in advance or if the five (5) business day grace period has expired, either party may terminate the
agreement upon notice to the other party. The investment management fee will be pro-rated for the quarter
in which the cancellation notice was given. Upon termination, any unearned fees will be refunded to you.

We are not compensated for this service. It is provided as a courtesy to our Individual Portfolio
Management clients.

Our seminars are open to the public and are free of charge.
GENERAL FEE INFORMATION
Advisory Fees in General. Clients should note that similar advisory services may (or may not) be available
from other registered (or unregistered) investment advisers for similar or lower fees.
Negotiability of Fees. In certain circumstances, all fees may be negotiable. We may also group certain
related client accounts for the purposes of determining the annualized fee. Further, we may waive or
discount fees for family members and friends of the owners and employees of our firm. These fee waivers
or discounts are not generally available to all advisory clients of MWM.
Grandfathering of Fees and Fee Billing Arrangements. Pre-existing advisory clients may be subject to
