Item 5: Fees and Compensation

The fees applicable to any of the specific foregoing Funds are set forth in detail in the
respective Fund’s Offering Documents. A general summary of the fees and other
compensation charged by the Adviser is provided below. The Adviser, in its sole discretion,
may waive, reduce or calculate differently certain fees and compensation described below as
provided in the Fund’s Offering Documents.

Management Fee

The Funds may pay the Adviser a management fee. Not all Funds pay a management fee,
however Funds that do pay a management fee pay management fees in the range of 1% to
2% per annum of the value of each Fund Investor’s capital account as the beginning of each
calendar month, as determined by the Adviser in its discretion (the “Management Fee”) as
further described in the Offering Documents. The Management Fee will be paid monthly in
arrears or at such other frequency as provided in the Offering Documents.

Origination Fee

With respect to certain of the Funds, the Adviser may cause an entity in which the Fund
makes an investment to pay to the Adviser or an affiliate of the Adviser a transaction and/or
origination fee of up to 2% of the amount of the applicable investment (an “Origination
Fee”) as further described in the Offering Documents.

Fees Relating to Loan or Equity Investment or Investment Extensions

With respect to certain of the Funds, in addition to the Management Fee and the Origination
Fee, the Adviser shall also be entitled to receive from the Fund all fees relating to an
investment, including any fees charged in connection with extensions if the investment is a
loan. Furthermore, in the event an investment consists of a loan in which the borrower offers
warrants, common stock, limited liability company interests or other equity instruments, the
Adviser shall be entitled to receive such equity instruments as further described in the
Offering Documents. Fund Investors will not be entitled to share in any of these fees or
equity instruments.

In addition to the fees above, the Principal may be paid director or other fees by portfolio
companies that the Funds invest in. These fees are paid pursuant to agreements between the
respective portfolio companies and the Principal.

Expenses

Any expenses attributable to and borne by a Fund are described in the respective Fund’s
Offering Documents.

With respect to certain of the Funds, in addition to the fees and compensation paid to the
Adviser or its related persons described above, the Fund will pay all expenses of the Fund
and its organization and operation and any expenses of any subsidiaries and affiliates (“Fund
Expenses”), including, (i) the Management Fee, (ii) Origination Fees (unless they are paid
in full by the entity into which the Fund invests), (iii) expenses related to the research, due
diligence, making, monitoring, managing and divesting of actual and prospective
investments (including any costs incurred in connection with transactions that are not
consummated after the Fund and the counterparty have preliminarily agreed upon terms, as
evidenced by a letter of intent, term sheet or similar document or the commencement of
drafting definitive documents) and the consummation of investments, including the
following: third-party investment sourcing fees; fees and expenses related to obtaining
research and market data; due diligence expenses including consulting and appraisal fees;
travel expenses (including lodging and meal expenses); brokerage fees, commissions and
expenses; expenses relating to reorganizations, restructurings and workouts; bank service
fees; interest expenses and fees related to financings or refinancings; fees and expenses of
third-party professionals, including, without limitation, consultants, investment bankers,
attorneys and accountants; (iv) organizational and reorganizational expenses; (v) operational
expenses, including the following: fees and expenses relating to information technology
hardware, software or other technology (including costs of software licensing,
implementation, data management and recovery services and custom development) used to
research investments, evaluate and manage risk, facilitate valuations, facilitate accounting
functions, facilitate communication with Fund Investors, including the establishment of a
Fund Investor portal; fees and expenses of third-party risk management products, models
and services; third-party administrative fees and expenses; fees charged by the Adviser or
its affiliates to provide administration services to the Fund, and expenses incurred directly
by the Fund or the Adviser or its affiliates in connection with the provision of administration
services, including out-of-pocket expenses (including travel, lodging and meal expenses);
loan administration costs; fees and expenses of third-party professionals, including
consultants, valuation service providers, attorneys and accountants; the costs of any
litigation or investigation involving activities of the Fund; third-party audit and tax
preparation expenses; insurance expenses, including premiums for cybersecurity insurance
and liability insurance covering the Adviser and the Fund Investors, partners, officers,

employees and agents of any of them; costs of preparing and distributing reports and notices;
taxes; expenses incurred in connection with negotiating and complying with provisions of
any side letter agreement; fees and expenses related to compliance with the rules of any self-
regulatory organization or applicable law in connection with the activities of the Fund,
including any governmental, regulatory, licensing, filing or registration fees or taxes;
expenses incurred in connection with the offering and sale of the Units and other similar
expenses related to the Fund (excluding fees payable to any placement agent); extraordinary
