Item 5 – Fees and Compensation

Each Fund’s Governing Documents describe the fees, compensation and expenses that are borne by
such Fund. Investors in the Funds should refer to the Governing Documents for a detailed description
of each Fund’s fees, compensation and expenses. As discussed further below, co-investment vehicles
are generally expected to bear reduced or no management fee or incentive allocation, but may be
subject to other fees and expenses.
Management Fees
Except as set forth in the Governing Documents of an applicable Fund, each Fund will pay Saothair a
management fee in exchange for investment advisory services via an investment adviser agreement
between such Fund and Saothair. The management fee is typically a percentage of the Fund’s
commitments or invested capital as set forth in a Fund’s Governing Documents. A Fund’s
management fee is typically 2% per annum, subject to variation and can vary throughout a Fund’s

lifespan, as agreed upon at inception and detailed in the Governing Documents. Management fees are
paid quarterly in advance as outlined in each Fund’s Governing Documents. If an investment adviser
agreement is terminated, unearned pre-paid management fees will be refunded directly to such Fund
(or its underlying investor(s)) in accordance with the terms of each such Fund’s Governing
Documents. The Governing Documents also specify conditions for fee reductions or limitations, and
Investors should expect to pay the stated rate until any such adjustments take effect on the
designated dates.
Saothair Arandell SPV, LLC (the “Arandell Fund”) pays Saothair a monitoring fee which is 5% of
earnings before interest, taxes, depreciation and amortization. The monitoring fee is paid quarterly
in arrears.

Item 7 – Types of Clients

Saothair provides investment advice to pooled investment vehicles.
Interests in the Funds are offered pursuant to applicable exemptions from registration under the
Securities Act of 1933, as amended (the “Securities Act”) and the Investment Company Act of 1940,
as amended (the “Investment Company Act”), and each Fund typically requires that each third-party
investor be an “accredited investor” as defined in Regulation D under the Securities Act, a “qualified
purchaser” as defined in Investment Company Act, and a “qualified client” within the meaning of Rule
205-3 under the Advisers Act.
The minimum initial capital commitment generally required for an Investor in a Fund is $5 million
(subject to a General Partner’s discretion to accept a lesser amount).
