Item 5: Fees and Compensation

Moorstone typically charges fees that are based upon a set percentage of assets under management and
performance.  Set forth below are summaries of the fees payable by Investors.  Please note that detailed
disclosures about the fees and expenses applicable to an investment in the Moorstone Funds is provided
in  the  relevant  Moorstone  Fund’s  Governing  Documents  (including  a  confidential  private  placement
memorandum, as amended or supplemented (a “Memorandum”)), which  are provided to prospective
Investors.    The  Governing  Documents  of  each  Moorstone  Fund  should  be  reviewed  carefully  prior  to
making an investment.

Management Fee

Moorstone is paid a management fee (“Management Fee”) by each Moorstone Fund, as further described
in  the  respective  Moorstone  Fund’s  Governing  Documents.    Management  Fees  are  typically  paid  to
Moorstone quarterly in advance, pro‐rated for partial periods, and such amounts are paid directly from
the applicable Moorstone Fund’s assets, current income, disposition proceeds received, drawdowns or
otherwise, as set forth in each Moorstone Fund’s Governing Documents.

Moorstone, in its sole discretion, may reduce, waive, modify or calculate differently the Management Fee
for any Investor in a Fund.  The Firm has waived any otherwise applicable Management Fees for certain
Advisory Affiliates, partners, principals, officers and employees, and expects to continue to do so in the
future.  Moorstone (or an Advisory Affiliate) deducts the Management Fee fees from the assets of the
Funds and Investors do not have the ability to choose to be billed directly for fees incurred.

It is critical that Investors refer to the Governing Documents of each applicable Fund for a complete
understanding of how Moorstone and its Advisory Affiliates are compensated for their services.  The
information  in  this  Item  5  is  in  summary  form  and  is  qualified in  its  entirety  by  the  relevant  Fund’s
Governing Documents.

Any Moorstone Fund launched after the date of this Brochure may have materially different terms than
those summarized in this Brochure.

Carried Interest

Moorstone is also entitled to performance‐based compensation from the Moorstone Funds in the form
of a carried interest, as further described in the Governing Documents for each of the Moorstone Funds.
See Item 6 below for more disclosures relating to the carried interest in the Moorstone Funds.

Expenses

In  addition  to  the  Management  Fees  and  any  incentive‐based  compensation  (as  described  in  Item  6
below), the Moorstone Funds pay (or reimburse Moorstone for bearing) certain expenses as set forth in
more  detail  in  the  Governing  Documents  for  the  Moorstone  Funds.    The  following  sets  forth  various
examples of the types of costs and expenses that will generally be borne by the Moorstone Funds, subject
to the terms of each Moorstone Fund’s applicable Governing Documents:

         organizational expenses (including, without limitation, all legal and other expenses (such as
          travel and travel‐related expenses) related to the structuring, formation, negotiation and
          organization of the Moorstone Funds);

       offering  expenses,  including  legal  and  accounting  expenses,  placement  fees,  printing  costs,
        travel and out‐of‐pocket expenses;
       pro rata share of expenses of a master fund or other related entities including all costs and
        expenses  directly  related  to  investments  or  prospective  investments  (whether  or  not
        consummated),  such  as  external  research  fees  and  transaction  costs  (including  travel  and
        travel‐related meals, legal  and other advisory fees and expenses), interest and  commitment
        fees on debit balances or borrowings, borrowing charges on investments sold short, custody
        fees,  bank  fees;  bank  service  fees;  amounts  for  taxes  (except  as  otherwise  determined  by
        Moorstone), and any insurance policies associated with taxes;
       costs of industry memberships;
       costs  and  expenses  incurred  to  implement  the  strategy  of  the  Moorstone  Funds  (including
        expenses  incurred  to  maintain,  manage  and  protect  existing  investments  of  the  Moorstone
        Funds);
       costs of fulfilling the bonding requirement under ERISA, if applicable;
       all deal and access fees, whether paid to third‐party managers, brokers or counterparties, for
        transactions in which the Moorstone Funds participate;
       expenses in connection with transactions directed to broker‐dealers and other counterparties
        in  part  in  recognition  of  investment  research  and  information  furnished  or  expenses  for
        services rendered by broker‐dealers and other counterparties in the execution of such orders
        and the use of such research and other services provided;
       investment expenses such as commissions, interest expense, and clearing fees;
       any  amounts  for  taxes  that  are  attributable  to  all  or  any  of  its  Investors  and  are  paid  by,
        withheld by, or withheld from payments to, the Moorstone Funds;
       any costs and expenses incurred in connection with compliance with applicable laws, including
        governmental, regulatory, licensing, filing or registration fees, expenses or taxes incurred by
        a Moorstone Fund, Moorstone or any Advisory Affiliate in compliance with the rules of any
        self‐regulatory organization or any U.S. federal, state or local or non‐U.S. laws;
       to  the  extent  permitted  by  applicable  law,  and  subject  to  the  indemnification/exculpation
        provisions in the applicable Governing Documents for the Moorstone Funds, any legal fees
        and costs (including settlement costs) arising in connection with any litigation or regulatory

Item 7: Types of Clients

As described in Item 4 above, Moorstone’s current clients are the Moorstone Funds and the Legacy Funds.
The  Moorstone  Funds  are  generally  offered  to,  among  others,  institutional  investors,  pension  plans,
endowments, family offices, high net worth individuals, and other qualified investors.

As noted above, in certain circumstances, Moorstone may consider managing one or more “funds of one”
or separately managed accounts for certain investors.  If this occurs in the future, these arrangements
may result in these investors receiving different  information rights (including with respect to portfolio
transparency) and different fee and/or liquidity rights than those granted to Investors in any Moorstone
Fund.  Moorstone’s willingness to manage a fund of one or a separately managed account for an investor
is  likely  to  be  determined  by  the  specific  facts  and  circumstances  at  the  time,  including  the  investor’s
rationale for requesting a fund of one or managed account and the size of its commitment amount.
