Item 5: Fees & Compensation
Compensation for Our Advisory Services
Asset Management:
Assets Under Management Annual Percentage of Assets Charge
Under $1,000,000 1.25% (maximum)
Over $1,000,000 1.00% (maximum)
The fee to be assessed to each account will be detailed in the client’s signed advisory agreement, LPL
Account Application or LPL Tiered Fee Authorization form. Fees are billed on a pro-rata basis quarterly
in arrears based on the value of the account(s) on the last day of the quarter. Fees are negotiable and
will be deducted from the account(s). Unless otherwise noted in writing, our firm bills on cash.
Adjustments will be made for deposits and withdrawals during the quarter. If accounts are opened
during the quarter, the pro-rata advisory fees will be deducted during the next regularly scheduled
billing cycle. In rare cases, our firm will agree to direct bill clients. As part of this process, Clients
understand the following:
a) LPL as the client’s custodian sends statements at least quarterly, showing all disbursements for
each account, including the amount of the advisory fees paid to our firm
b) Clients provide authorization permitting LPL to deduct these fees
c) NCP calculates the advisory fees for all fee schedules and deducts them from the client’s account.
Client Use of Margin Borrowing:
A custodian may authorize a client’s account for the use of margin borrowing (or margin). The client
maintains sole discretion as to whether margin is used in the account. If margin is used by the client, the
market value of the account and the corresponding advisory fee payable by the client to NICH Capital
Partners, Inc. will be greater than without the use of margin. As a result, in addition to understanding
and assuming the additional principal risks associated with the use of margin (see Item 8 for more),
clients authorizing the account for margin are advised of a potential conflict of interest, since the client’s
decision to employ margin will correspondingly increase the advisory fee payable to NICH. In other
words, NICH may have an economic disincentive to recommend that the client terminate the use of
margin.
Other Types of Fees & Expenses
Transaction fees are separate from our firm’s advisory fees and will be disclosed by the chosen
custodian. LPL Financial offers a trading platform with select exchange traded funds (“ETFs”) that do
not charge transaction fees. The no-transaction-fee ETF trading platform is available to clients
participating in LPL Financials’ Strategic Wealth Management (“SWM”) and Strategic Asset Management
(“SAM”) programs. Clients will not be charged any fees or commissions by LPL for transactions, trading
activity, or annual maintenance on any account. Rather, LPL charges our firm an annual fee based on the
amount of client assets under management which allows us to execute trades in advisory accounts
without commissions on individual securities transactions. However, clients may pay holding charges
imposed by the chosen custodian for certain investments, charges imposed directly by a mutual fund,
index fund, or exchange traded fund, which shall be disclosed in the fund’s prospectus (e.g., fund
management fees, distribution fees, surrender charges, variable annuity fees, margin interest, IRA and
qualified retirement plan fees, mark-ups and mark-downs, spreads paid to market makers, fees for
trades executed away from custodian, wire transfer fees and other fees and taxes on brokerage accounts
and securities transactions). Our firm does not receive a portion of these fees.
NICH Capital Partners also offers portfolio services to clients for accounts not managed by the firm.
Clients have the control as to whether to act upon the investment advice provided and are responsible
for initiating any adjustments to their investments within those accounts. NICH Capital Partners’ fee for
such services is negotiable.
Termination & Refunds
Either party may terminate the advisory agreement signed with our firm for Asset Management services
in writing at any time. Upon notice of termination pro-rata advisory fees for services rendered to the
point of termination will be charged. If advisory fees cannot be deducted, our firm will send an invoice
for due advisory fees to the client.
Commissionable Securities Sales
Our firm and representatives do not sell securities for a commission in advisory accounts. |

Our firm requires a minimum account balance of $250,000 for our Asset Management service.
