Item 5 – Fees and Compensation
Each Client shall be required to enter into a written agreement with the Advisor. Pursuant to California Code of
Regulations Section 260.238(j), Client may be able to obtain comparable services from other services providers
for a lower fee.
Asset Management Fees
The fee for on-going planning and asset management services generally following the below fee schedule
depending on the scope and complexity as well as the amount of time and expertise required.
Assets Under Management Annual Percentage Fee – Negotiable Range
Any Amount 0.80% - 1.50%
The specific manner in which fees are charged by the firm is established in a client’s written agreement and
account application between the client and Total Wealth Solutions Inc. Total Wealth Solutions Inc. provides
advisory services on a discretionary basis.
Total Wealth Solutions does not deduct fees or bill clients. Fee are deducted, by a direct agreement with the
custodian (LPL Financial), where Total Wealth Solutions is not a party. Clients are billed or quarterly billing in
advance for the initial billing cycle then in arrears going forward. The Agreement may be terminated by any
party effective upon receipt of written notice to the other parties. If the Account Agreement is terminated before

the end of the quarterly period, Total Wealth Solutions Inc. will pay the client a pro-rated refund of any pre-paid
quarterly Account Fee based on the number of days remaining in the quarter after the termination date.
• The Client may terminate the investment advisory agreement within five (5) business days of signing the
Advisor’s agreement at no cost to the Client. After the five-day period, the Client will incur charges for bona
fide advisory services rendered to the point of termination and such fees will be due and payable by the Client.
• Either party may terminate the agreement for services at any time. If the advisory agreement is terminated
before the end of the quarterly period, client is entitled to a pro-rated refund of any pre-paid quarterly
advisory fee based on the number of days remaining in the quarter after the termination date.
• The Client’s investment advisory agreement with the Advisor is non-transferable without the Client’s prior
approval.
Mutual Fund Share Class Disclosures
Certain mutual fund share classes charge a 12b-1 fee that generally amounts to an additional .25% expense ratio or
more. The purpose of 12b-1 fees, as approved by the SEC, are to cover marketing expenses and shareholder
services such as support services and “other expenses” such as the legal, accounting and the administrative services.
When selecting a mutual fund, there is a fiduciary duty to select the share class that helps manage the overall fee
structure of the account. The overall fee structure includes such fees as the asset management fee, expense ratio
and ticket charges.
• Mutual funds normally offer multiple share classes, including lower-cost share classes that do not charge
12b-1 fees and are therefore usually less expensive.
• Investment adviser representatives may or may not invest or hold client funds in 12b-1 fee paying share
classes as appropriate to account for the overall fee structure and tax considerations of an account.
• Neither Total Wealth Solutions Inc. nor any Investment Advisor Representative receives a portion of the
12b-1 fee., directly or indirectly.
Depending on the anticipated trading volume, and the asset management fee that that is determined based on account
size, complexity and time requirements, Investment Advisor Representatives have a fiduciary duty to determine the
mutual fund share class that is in the best interest of each client as part of the overall fee analysis.
Investment Advisor Representatives will consider investing client funds in 12b-1 fee paying share classes even
when a lower-cost share class is available as appropriate to account for the overall fee structure, unique fund
characteristics and client preferences.
• A share class that pays 12b-1 fee usually does not have transaction charges.
• Not all investors will qualify for all share classes
• Not all mutual funds offer equivalent share classes.
• A broker/dealer custodian may have arrangements with the mutual fund company.

Neither the firm nor supervised persons receive commissions compensation advisory services. Please see
Item 12 for additional information about Brokerage Services.
Fixed Financial Fees
Clients can engage the services of Total Wealth Solutions Inc. for a fixed fee that generally ranges from $1,000
to $5,000. The fee could be more or less depending on the scope and complexity as well as the time and expertise
required. Financial planning engagements terminate upon plan delivery or by written notice. Fees for fixed
financial planning services are paid directly to Total Wealth Solutions by check, credit card3 or electronic
payment. Fees are due 50% upon engagement with the balance due upon completion. Client can obtain a refund
of any pre-paid fee if the advisory contract is terminated before the end of the billing period based on the extent
of work completed.
Compensation for the Sale of other Investment Products (e.g., insurance products)
Imran Jaffer, in his individual capacity is a licensed insurance agent. In this capacity he is able to sell variable
insurance policies and variable annuity contracts, which are considered investment products, for commission

The advisory services offered by Total Wealth Solutions Inc. are generally provided to individuals, individual
retirement accounts (“IRAs”) and High Net Worth individuals, and small business owners.
Total Wealth Solutions does not maintain client credit card information on file for recurring advisory charges.
