Item 5. Fees and Compensation

The fees and expenses that are applicable to an investment with the Adviser are set forth and agreed to in
the Funds’ governing documents, which include a limited partnership agreement, subscription agreement,
and may, include other agreements (individually and collectively, the “Offering Documents”). Prospective
investors must carefully review the Offering Documents of the Fund in which they may invest, to review the
specific fees and expenses applicable to their potential investment.

For certain Funds, the Adviser will receive a management fee (the “Management Fee”), calculated and
payable as of the last day of each calendar quarter. The Management Fee will be equal to 1.5% per annum
of the investor’s capital account. The Management Fee will be payable quarterly in arrears and prorated for
any partial periods.

The Adviser is eligible to receive from certain Funds a performance fee of the profits of the Fund (“Carried
Interest”), subject to a preferred return and a general partner catch-up. The Carried Interest may be paid to
the Adviser or a related person of the Adviser.

In addition, the Funds will generally bear its own expenses. Such expenses generally include, but are not
limited to, costs and expenses incurred in connection with the acquisition or disposition of investments
(whether or not consummated), such as for research, evaluation, structuring, acquisition, holding and
disposition thereof and all third-party expenses in connection therewith (including, without limitation,
expenses relating to proxies underwriting and private placements, brokerage commissions, bank service
fees, price validation, dealer spreads, sales commissions, interest on, and fees and expenses arising out of,
debit balances, dividends payable with respect to securities sold short, exchange, clearing, give-up and
intermediation fees, clearing and settlement charges and costs of middle office exchanges (whether paid
directly or via an administrator), organizational expenses, and any tax-related structuring or legal fees and
expenses incurred.

Provided, however, in certain instances, a Fund will pay a pre-determined expense budget (the “Budget”)
quarterly in advance. In such cases, any amounts that are in excess of the Budget, will be paid by the general

partner or the Adviser unless otherwise agreed to with the respective Fund.

While generally not negotiable, the Adviser, in its sole discretion, has and may in the future waive or modify
the Carried Interest for principals, members, employees or affiliates of the Adviser or any general partner to
a Fund and relatives of such persons.

As described in Item 4, the Adviser’s clients, the Funds, are private investment funds suitable for
institutional and other sophisticated investors. Any initial and additional subscription minimums for
investors are disclosed in the Funds’ Offering Documents.
