ITEM 5 - FEES AND COMPENSATION
INVESTMENT MANAGEMENT FEES AND COMPENSATION
All of our advisory clients are managed in our Wrap Fee Program which covers all program transaction fees, including
ticket charges, commissions, and other charges for trading and custody. Fees are defined in the client Investment Advisory
Agreement. NIM’s annual fees are based upon a percentage of assets under management not to exceed 2.00%. If services
commenced in the middle of the billing period, then the prorated fee for that billing period and any fees due to the Firm
will be deducted from the Client’s account prior to termination.
Investment advisory fees of NIM are charged based on a percentage of assets under management, billed in arrears (at the
end of the billing period) on a monthly basis, and calculated based on the average daily balance of the Account(s) during
the current billing period. If services are commenced in the middle of the billing period, then the prorated fee for that
billing period and any fees due to the Firm will be deducted from the Client’s account prior to termination. To calculate
advanced billing NIM uses the following calculations:
Avg. Daily Balance Current Month x (Advisory Fee %) / # of Days in a Year x # of Invested Days in a Month = Advisory Monthly Fee
Example:
Account Average Daily Balance: $100,000
Client Fee: 1% equals 100 basis points
Invested October 15th
$100,000*1.00%/365*16=$43,84
As part of this process, the client is made aware of the following:
a) You provide written authorization permitting us to be paid directly from the managed account held by the
independent custodian;
b) Our firm sends an electronic request to the custodian indicating the amount of the fee to be paid from the client’s
managed account;
c) Your independent custodian offers statements at least monthly to you showing the market values for each security
included in the Assets and all disbursements in your account including the amount of the advisory fees paid to us.
Although NIM has established a maximum annual fee as stated above, we retain the discretion to determine alternative
fees on a client-by-client basis. Client facts, circumstances and needs are considered in determining the agreed upon fee.
These factors include the complexity of the client, assets to be placed under management, anticipated future additional
assets, related accounts, portfolio style, account composition, reports, among others. The specific annual fee schedule is
identified in the contract between the adviser and the client. Fees are assessed on all assets under management. When
invested in a managed model there is typically a small percentage invested in cash as part of that model (i.e., 1%). That
“cash” will be included in the AUM fee. Cash held in other types of accounts, such as a stand-alone money market, a
“contribution distribution sleeve” or “non-managed” account (used for purposes of scheduled distributions or flexibility
of withdrawals) is “not” included in the fee.
Unless otherwise instructed by the client, we will aggregate asset amounts in accounts from your same household
together to determine the advisory fee for all your accounts. We would do this, for example, where we also service
accounts on behalf of your minor children, individual and joint accounts for a spouse, and/or other types of related
accounts. This consolidation practice is designed to allow you the benefit of an increased asset total, which could cause
your account(s) to be assessed a lower advisory fee.
The independent qualified custodian holding your funds and securities will debit your account directly for the advisory fee
and pay that fee to us. You will provide written authorization permitting the fees to be paid directly from your account
held by the qualified custodian. Further, the qualified custodian agrees to deliver an account statement at least quarterly

directly to you indicating all the amounts deducted from the account including our advisory fees. You are encouraged to
review your account statements for accuracy.
Either NIM or you may terminate the management agreement immediately upon written notice to the other party. The
management fee will be pro-rated to the date of termination, for the month in which the cancellation notice was given
and billed to your account. Upon termination, you are responsible for monitoring the securities in your account, and we
will have no further obligation to act or advise with respect to those assets. In the event of client’s death or disability, NIM
will continue management of the account until we are notified of client’s death or disability. Once notified, the account
will be restricted until alternative instructions are received by an authorized party.
We will not require prepayment of more than $1,200 in fees per client, six (6) or more months in advance of
providing any services. In no case are our fees based on, or related to, the performance of your funds or
investments.

USE OF MODEL MANAGERS AND PLATFORM PROVIDERS
Through an administrative platform arrangement, we utilize their technology to support data reconciliation, performance
reporting, fee calculation and billing, client database maintenance, necessary periodic performance evaluations, payable
reports, and other functions related to the administrative tasks of managing client accounts. Due to this arrangement, the
platform provider will have access to client information. NIM and the platform provider are non-affiliated companies. The
platform provider receives a portion of our advisory fee for each account. The platform provider will not serve as the
