Item 5 – Fees and Compensation
 Fees are based on the types of services rendered and are described in more detail below.
 Fees described below are available to new clients. Some existing clients have different fee arrangements.

 Financial Planning and Investment Management Services
 Client fees are described in the client’s advisory agreement and will not exceed those listed below:

 A) Core Services – Financial Planning, Investment Management, and Basic Tax Prep
 Core clients pay a quarterly flat fee, in advance, for ongoing financial planning, basic tax preparation and
 investment management for assets managed, up to a threshold amount. Managed assets over this threshold are
 assessed an additional, asset-based fee listed below. This additional fee is calculated based on the previous
 quarter’s ending value. All Fees on the website are current and will not exceed those in table 5.1 below. Fees
 listed on the signed client agreement supersede those listed below.

 Example: A client has a portfolio value of $4,000,000 of assets managed by the firm at the end of the first
 quarter. The second quarter’s bill, assessed at the beginning of April, is calculated as: $2500 (¼ of $10,000) +
 ($2MM x .001 for ¼ of .40%) or $2000 for a total of $4500 for the quarter.

 Fees will be reviewed on an annual basis and may be adjusted at that time to then-current rates. Fees are only
 adjusted with the written consent of all parties, typically in the form of an updated advisory agreement.

 Fees are assessed and paid quarterly in advance. Clients may pay directly via ACH to retain the full value of their
 investment accounts. However, with proper authorization, clients are permitted to pay their quarterly fees via a
 debit to their investment accounts managed by the Firm.

 Initial Prorated fees
 The initial fee will be prorated from the date the client signs the advisory agreement until the end of that
 calendar quarter, and is due within 5 days of signing the agreement. For purposes of this calculation, there are
 assumed to be 3 months in the quarter, and six, five-day periods per month. Fees will begin accumulating the
 day after the agreement is signed. This fee will be invoiced through our payment processor and paid via ACH or
 credit card, when permitted. Regardless of the assets that are to be transferred to the firm, the initial prorated
 fee is based on the base flat fee listed in the client agreement.

 For example, using fees listed above, the base flat fee is $10,000 per year and the pro-rated amount would be a
 portion of the quarter’s $2500 payment. Clients starting at the beginning of a quarter do not require prorating of
 fees. Subsequent quarters in which assets are not held at the firm will also be billed at this level to account for
 time spent during the onboarding, planning and the asset transfer process. These fees must also be paid via ACH
 or credit card, when permitted, as there are no assets to assess the fees against. If the client prefers, with
 written authorization the firm can delay processing the quarter’s invoice until assets have settled at the
 custodian, and then assess the fees accrued to that date, and for the current quarter. Once assets are
 transferred to the custodian, subsequent quarterly invoices will be calculated based on the end-of-quarter
 balance as described above and, with proper authorization, will be paid from assets held with the firm.

B) Financial Planning
Fees for comprehensive financial planning or those more limited in scope, used to address one or more
components of a financial plan, are assessed based on an agreed upon fixed rate, and range from $3600 to
$8200. At this time there is limited availability for this engagement option.

 Fees for financial planning services are based on the complexity of the client’s financial circumstances and the
 time estimated to provide the services. Factors considered include, among other things: the depth of services to
 be provided during the engagement, overall portfolio size, income, business ownership, dependents, real estate
 ownership, types of compensation (1099, w-2, etc), number of accounts comprising the portfolio, whether the
 planning is for an individual or couple (married or not), and whether you or our Firm will implement the
 transactions for your account(s).

 One-half of the fee is due upon execution of the Client Agreement and the other half at delivery of the financial
 plan or mutually agreed upon documents.

 Fees do not include investment management services unless indicated otherwise on the client advisory
 agreement. Ongoing maintenance, future meetings and support for implementation is billed separately on a per
 hour basis at then-current hourly rates as listed in the client agreement.

 Clients who have had agreed-upon comprehensive or limited scope financial planning services may retain us to
 perform additional financial planning services at an hourly rate, at the firm’s discretion. Notification of this
 change will coincide with agreed-upon plan document delivery and an email notifying clients that subsequent

 Oak Street Investments provides or seeks to provide advisory services to individuals, small businesses,
 foundations, donor-advised funds, and retirement plans. Our Firm reserves the right to decline services to any
 prospective client for any nondiscriminatory reason.

 As noted above, Oak Street Capital renders investment advisory services to the Funds. Investors invested in the
 Funds must meet certain investor eligibility criteria described in the Offering Documents for each Fund. Any
 minimum investment applicable to an investment in the Funds is outlined in the offering documents for such
 Fund.
