Item 5: Fees and Compensation Our fees and compensation are described in the governing documents (e.g. offering memorandum, investment management agreements, limited partnership agreements) of each Fund. Investors in our Funds are (i) U.S. persons that are “qualified purchasers” (as defined in Section 2(a)(51) of the 1940 Act), or (ii) non-U.S. persons. A brief summary of such fees is provided below. Management Fees and Performance-Based Compensation Pacific Way will be paid an investment management fee per annum of the net asset value of the Funds. In general, Pacific Way or an affiliate will receive an asset-based management fee of up to 1.5% per annum of each Fund’s net asset value. Additionally, Pacific Way or an affiliate may receive annual performance-based compensation of up to 15% of net profits, subject to a loss carryforward. The foregoing compensation is subject to reduction in respect of certain Investors, based upon the applicable class or series of interests or shares, or as otherwise determined by Pacific Way. The Investment Manager, in its sole discretion, may waive or modify the management fee and/or performance-based compensation for any Investor. Other Types of Fees or Expenses Each Fund is responsible for all of its expenses incurred in connection with or otherwise related to its operations and activities, and certain expenses of the General Partner and/or Investment Manager, as described below and in accordance with the applicable Fund Documents. Operating Expenses. The Funds’ operating expenses include, but are not limited to: administrator fees; administrative expenses; back-office expenses (e.g., expenses that the Investment Manager reasonably determines to be related to facilitating back-office operations, including, but not limited to, third-party consultant contracts); investment expenses (e.g., expenses that the Investment Manager reasonably determines to be related to the investment of the Fund’s assets, such as brokerage commissions (as discussed further in Item 12, “Brokerage Practices,” below), expenses relating to short sales, financing charges, exchange fees, clearing and settlement charges, custodial fees, bank service fees and interest and financing expenses); Sub-Adviser Compensation Costs (as defined below); investment-related travel expenses; legal expenses; professional fees (including, without limitation, expenses of expert networks and other third-party consultants, who may provide services exclusively to one or more Funds, including risk service providers and portfolio finance service providers) relating to investments; research-related expenses, including expenses related to Bloomberg and similar subscription-based services as well as market data, price quote data, and other data services, including but not limited to research data and alternate data, newswire and data processing expenses; technology, software, infrastructure and information system expenses (including expenses related to risk software, connectivity, hardware costs, middle and back office software and systems, cloud computing, trading systems, order management systems, portfolio management systems, risk management systems, execution systems, information technology and data security programs and other systems designed to manage and control cyber security risk, investor reporting systems, and other similar expenses); technology and operational support expenses in respect of Sub-Advisers (as defined below), including costs of third-party service providers; auditing and tax preparation expenses; expenses for tax or accounting services performed by third parties; costs of preparing, printing and mailing reports and notices; taxes and similar amounts and other related interest, penalties or other expenses (such as expenses related to the Foreign Account Tax Compliance Act, Common Reporting Standards and other similar tax-related filings); fees and expenses of the Fund’s “partnership representative” (as applicable); corporate licensing; regulatory Pacific Way Capital Management, LLC Form ADV Part 2A Brochure reporting and the Investment Manager’s and General Partner’s regulatory registrations required in respect of the Fund (including expenses related to the retention of compliance consultants, the expenses incurred in the preparation and filing of regulatory filings); organizational expenses; expenses incurred in connection with the offering and sale of interests; the Fund’s board of directors (including remuneration for independent directors and costs of registration any regulatory authority); the General Partner’s, the Investment Manager’s and the Fund’s liability insurance premiums (including, without limitation, Errors & Omissions, Directors & Officers, employment practices liability insurance, cyber insurance and general liability insurance, including for the principals, members, officers and employees of the General Partner and the Investment Manager); expenses related to the maintenance of the Fund’s registered office and other similar expenses related to the Fund; ERISA bonding expenses, if applicable; fees and expenses related to the Fund’s wind down and liquidation; and extraordinary expenses (e.g., litigation costs (including expenses incurred in connection with any settlement related to a portfolio investment), indemnification obligations (including indemnification of any person indemnified under the Fund Documents or any other agreements that the Fund is a party to), expenses of registering the Fund with any governmental agency under the requirements of any applicable law, and costs incurred in connection with a reorganization or restructuring of the Fund), if any.
