Item 5 - Fees and Compensation

 General Fee Information

 Fees paid to Paradigm are exclusive of all custodial and transaction costs charged by the client’s custodian,
 brokers or other third-party consultants. Fees paid to Paradigm are also separate and distinct from the fees
 and expenses charged by mutual funds, ETFs (exchange traded funds) or other investment pools to
 their shareholders (generally including a management fee and fund expenses, as described in each fund’s
 prospectus or offering materials). The client should review all fees charged by funds, brokers, Paradigm

and others to fully understand the total amount of fees paid by the client for investment and financial-
related services. Paradigm’s standard fee schedules for institutional clients are below:

OCIO Solutions Fee (Discretionary):
On the first $25 million  60 - 75 basis points (0.60 - 0.75%)
On the next $125 million 30 - 60 basis points (0.30 - 0.60%)
On the next $200 million 20 - 40 basis points (0.20 - 0.40%)
On the next $350 million 15 - 20 basis points (0.15 - 0.20%)
On the next $300 million 10 - 15 basis points (0.20 - 0.40%)
Above $1 billion          5 - 10 basis points (0.5 - 0.10%)

Traditional Consulting (Non-Discretionary):
On the first $150 million  25 - 55 basis points (0.25 – 0.55%)
On the next $200 million 15 - 35 basis points (0.15 – 0.35%)
On the next $350 million 10 - 15 basis points (0.10 – 0.15%)
On the next $300 million 5 - 10 basis points (0.05 - 0.10%)
Above $1 billion           3 - 7 basis points (0.03 – 0.07%)

Private Funds

Interests in the Fund shall be represented by the following three class of Units, of which there are three classes:
Class A Units, Class A1 Units, and Class C Units.
Class A and Class C investors shall be subject to investment management and performance fees as described
below. Class A1 Units shall not be subject to any investment management fees. Notwithstanding the foregoing,
the Fund shall be subject to a success fee owed to the portfolio manager of the Quatrain Vision Fund Strategy of
20% of the net profits of the Fund’s trading accounts, subject to loss carry-forward (High-Water mark) provisions
as stipulated in the Investment Management and Distribution Agreement. Class A1 Units shall differ from Class
A Units in that Class A1 Units are not subject to any management fees; otherwise, Class A and Class A1 Units
shall have the same rights and fee structure.".
Investment Management Fees
With respect to the Class A Units, the Manager shall be entitled to an annual investment management fee of 2.0%
of the Net Asset Value of the aggregate Class A Units in respect of its services to the Class A Units (the
"Investment Management Fee") out of the capital accounts of the Class A Members.
With respect to the Class C Units, the Manager shall be entitled to an annual investment management fee of 2.0%
of the Net Asset Value of the aggregate Class C Units in respect of its services to the Class C Units (the
"Investment Management Fee") out of the capital accounts of the Class C Members.
The Investment Management Fee shall accrue daily and be payable monthly in arrears. The Manager will also
be reimbursed by the Fund for reasonable vouched out of pocket expenses and disbursements, and for any taxes
payable on any such disbursement, incurred by the Manager in respect of the Fund.
The Manager may reduce all or part of its Investment Management Fee to any Class A or C Member it being
acknowledged that such reduction, if any, may differ between Members and that the Manager will have ultimate
discretion in this matter. Upon the termination of the Manager, any Investment Management Fees owed will be
paid in full by the Fund.
The Manager shall receive compensation in addition to reasonable out-of-pocket expenses specific to the
Management of the Fund, as detailed in the separate Investment Management and Distribution Agreement agreed
between the Manager and the Fund. The Manager may also share its fees with Fund Members at the Manager’s
discretion.

The Fund’s reasonable costs for organizing the Fund as well as costs to support the ongoing business of the Fund
(“Costs”), i.e., audit, fund administration, systems to connect with and reconcile to prime brokers and the fund
administrator, investor portals, etc., are paid by the Fund, as disclosed in the Fund’s offering documents. All
payments of Costs are subject to the submission of documentation supporting such costs.
 The Fund may also receive performance fees (refer to item 6).
 OCIO Solution Fees

The annual fee for OCIO services is based upon the client’s assets under advisement, complexity, and
required customization of OCIO services. Paradigm’s annual advisory fee could be asset based or set
as a flat, annual fee. Paradigm’s fee could range between 3 and 150 basis points based upon the
previously mentioned factors. The annual advisory fee is Paradigm’s sole form of compensation.

 Traditional Consulting, Institutional Discretionary Services

Fees are calculated and billed quarterly in arrears at the beginning of each calendar quarter, using
the prior quarter’s account valuation. For example, the first quarter billing (1/1 thru 3/31) will use market
values as of 12/31 the prior year. In some cases, client fees may also be calculated and billed quarterly in
advance at the beginning of each calendar quarter, using the most recent quarter’s account valuation.
Most institutional clients are invoiced directly by mail; however, a client may elect to have Paradigm’s
fees withdrawn directly from the client's account. Fees may be collected from one or more related accounts
identified as related accounts by the client, provided that Paradigm retains the sole discretion to determine
whether or not accounts are related accounts. For clients that have an assets-based fee, separately

Item 7 - Types of Clients
  Paradigm provides advisory services to the following types of clients:

      •   Corporate, Private and Public Employee retirement funds (Pension and Savings plans)
      •   Endowments and Foundations
      •   Operating funds for non-profit and for-profit organizations, healthcare
          organizations, public sector entities and insurance companies
      •   Other Investment Advisers

  Additionally, PFM provides discretionary investment management services to Private Funds only to Investors
  who are “Accredited Investors,” as that term is defined in Rule 501 of Regulation D under the Securities Act.
