ITEM 5 - FEES AND COMPENSATION
General Fee Information
Power Innovation is compensated for its services with management fees and performance-
based fees in connection with advisory services to each Fund as described below. Each Fund
has its own distinct fee arrangement which is fully disclosed to the investors in the respective
Fund documents.

Management Fee
The management fee due to Power Innovation varies with each Fund. The management fee
for Power Innovation Fund ranges from 1.00%-1.25% per annum based on each underlying
investor’s capital account. Avalon Electricity Fund does not charge a management fee.
The management fees are made quarterly in advance on the first day of each period. Fees
are payable out of the investor capital accounts.
The Advisers may, in their sole discretion, at any time reduce, otherwise modify or waive the
management fee with respect to any underlying investor.

ITEM 7 - TYPES OF CLIENTS
Power Innovation only provides investment advice to the Funds described above.
The investors of each Fund must meet specific financial requirements. Investment within
each Fund generally is open to sophisticated high net worth individuals and institutional
investors, including pension and other funds subject to ERISA. Power Innovation Fund, L.P. is
the primary investor in the Avalon Electricity Fund.

Account Minimums
The minimum capital commitment for investing in the Power Innovation Fund is $1,000,000.
Lesser amounts may be accepted at the sole discretion of the Advisers. The minimum capital
commitment for investing in Avalon Electricity Fund is €100,000 for Class A Shares, $100,000
for Class B, C, E, F, and G Shares.
