Item 5: Fees and Compensation
Certain fees are subject to negotiation and are set forth in the applicable written agreement. Advisory
fees and fund expenses reduce returns to investors. The amount of fees charged is based on a number
of factors, including, but not limited to, the scope of services, the complexity of such services and the
nature of the client relationship. Fees may be billed on a fixed-fee basis or calculated as a percentage of
assets under management.

Registered Fund Adviser Services
As compensation under the Investment Management Agreement, the Fund pays Primark a monthly
Management Fee equal to 1.50% on an annualized basis of the average daily net assets of the Fund. We
have the ability, but are not obligated, to waive up to 0.50% of the Management Fee on cash and cash
equivalents held in the Fund from time to time. See “Management Fee” section of the Fund’s prospectus
for more information. The Management Fee is deducted directly from the Fund’s assets.
Primark has entered into an expense limitation and reimbursement agreement (the “Expense Limitation
Agreement”) with the Fund and its subsidiaries, whereby Primark has agreed to reduce the Management
Fee payable to it (but not below zero), and to pay any operating expenses of the Fund, to the extent
necessary to limit the operating expenses of the Fund, excluding certain “excluded expenses” as further
defined in the Fund’s prospectus.
Sub-Adviser Fees (Private Fund)
For sub-advisory services, the Firm receives a negotiated asset-based fee paid by the Sponsoring
Adviser (Berch Capital), as disclosed in the applicable sub-advisory agreement. Primark receives a
negotiated fee from Berch and a portion of the advisory fee is paid to Meketa Investment Group per the
Sub-Adviser Agreements between the parties. Because the fee is generally based on assets, the Firm has
an incentive to recommend strategies or actions that increase assets, including by retaining assets
rather than recommending redemptions, where applicable. We address this conflict through fiduciary
conduct, disclosure, and policies governing recommendations and monitoring.
Fees for Other Services; Expense Allocation. The Registered Fund and/or a Sub-Advised Fund (or their
portfolio entities) may retain the Firm or one of its affiliates from time to time for services relating to
investments or operations (for example, diligence, consulting, monitoring, or administrative support), or
may reimburse the Firm or its affiliates for costs incurred in providing such services, as permitted by the
applicable governing documents and agreements. Any such fees or reimbursements, if any, will be
described in the applicable agreements or fund disclosures, will be intended to be at market rates or
reflect cost reimbursements, and generally will not reduce the advisory fees described above. These
arrangements create conflicts of interest because the Firm has an incentive to recommend or support
arrangements that result in additional compensation or reimbursement. We address these conflicts
through disclosure, oversight (including, where applicable, board oversight), and policies governing

Item 7: Types of Clients Primark provides investment advisory services to two clients: (i) the Primark Meketa Private Equity Investments Fund, a registered closed-end management investment company operating as an interval fund under the Investment Company Act of 1940; and (ii) Primark provides portfolio management services pursuant to a sub-advisory services agreement to Berch Capital, an unaffiliated SEC-Exempt Reporting Adviser. As sub-adviser, Primark assists Berch in identifying and evaluating potential investments for the private fund, with Berch retaining sole ultimate discretionary authority over the private fund’s investments. Primark does not provide advisory services to Berch’s individual clients. Primark, in turn, will engage Meketa Investment Group (“MIG”) to act as either a sub-adviser or an investment consultant with respect to certain underlying investments. Meketa Investment Group (“MIG”) serves as a sub-adviser to Primark and is responsible for investment sourcing, due diligence, private markets research, co-investment origination, and portfolio construction support with respect to Berch’s Private Fund. MIG does not provide advisory services directly to Berch or to Berch’s clients. Berch retains ultimate responsibility for the advisory services provided to the Fund and its investors, including oversight of the sub-advisory relationships, account openings, and minimum-investment requirements. |
