Item 5 Fees and Compensation
The annual management-fee rate (the “Management Fee”) for each client account is generally 1.00%
however the Management Fee may vary by client dependent upon the agreed upon structure and assets
invested. The Management Fee will be payable monthly, based on the value of each client’s account
balance as of the first day of each month. If contributions to the client’s account are made at any time
other than at the beginning of a calendar month, a pro rata portion of the Management Fee will be paid to
ReFlow in respect of such contribution (based on the actual number of days remaining in such partial
month). If the client reduces the amount to be managed by ReFlow at any time other than at the end of a
calendar month, a pro rata portion of the Management Fee will be paid to ReFlow in respect based on the
actual number of days ReFlow managed those assets. The Management Fee is negotiable.
Incentive Fees
As referenced further in Item 6 below, ReFlow is entitled to receive a performance fee.

PROVISIONS OF RULE 205-3 PROMULGATED UNDER THE INVESTMENT ADVISERS ACT
OF 1940, AS AMENDED (“ADVISERS ACT”), APPLICABLE SEC GUIDANCE, AND/OR
APPLICABLE STATE REGULATIONS.

Other Expenses
As described in the offering document of the Fund, ReFlow is authorized to incur and pay in the name
and on behalf of the Fund all expenses which it deems necessary or advisable. ReFlow generally is
responsible for all of its own overhead expenses of an ordinarily recurring nature such as rent, utilities,
supplies, secretarial expenses, stationery, charges for furniture, fixtures and equipment, employee
benefits including insurance, payroll and other taxes and compensation (and related costs) of all
personnel.
Except as otherwise set forth in the offering documents, the Fund incurs brokerage costs, third-party
execution costs (if any) and other transaction costs associated with ReFlow’s management of the
accounts’ portfolio securities. Please refer to the discussion of ReFlow’s brokerage practices in Item 12,
below.
In addition to the applicable Management Fee and brokerage and transaction costs, the Fund is generally
responsible for administrative expenses; transfer and dividend disbursing fees and costs; taxes; accounting
services; custodian expenses; federal and state securities registration fees; and the costs of preparing
reports sent to shareholders, as described in the Fund’s offering materials, as supplemented from time to
time. In addition, the Fund pays other types of fees and expenses, including, but not limited to, distribution
fees. |
