Item 5 Fees and Compensation
Financial Planning and Consulting Services
Our fee for financial planning and consulting services is based on a negotiated fixed fee that ranges up
to $8,000. In certain circumstances, we may negotiate higher fees where the client's financial situation
is more complex in nature. Financial service fees are billed 50% in advance with the remaining 50%
due upon completion of services rendered. In our firm’s sole discretion, we may negotiate other fees
and/or fee-paying arrangements. In instances where the Client requires consulting services beyond the
scope of services identified in the client agreement, Client will be billed at our hourly rate of $350 and
invoiced accordingly.
In all cases, applicable fees, fee payment arrangements, and the terms of the engagement will be
clearly set forth in the financial consulting agreement.
Either party may terminate the engagement upon notification to the other party pursuant to the terms of
the agreement. Any fees paid in advance are deemed earned and paid for services rendered. There
are no fee refunds for advance payments.
Portfolio Management Services
Our fee for portfolio management services is based on a percentage of your investment assets. If
applicable, the advisory fee charged by Revo Financial and the management fee charged by a Third-
Party Investment Adviser (“TPIA”) – see Item 4 of this Disclosure Brochure) – are separate and apart,
and the combined fee will not exceed 1.71% on an annual basis. Our fee generally ranges up to
1.10%, while the TPIA fee may range up to 0.61% of assets under management. Revo Financial also
offers proprietary strategies/models that are subject to a fixed fee of 0.45%. Where there is Strategy or
Model change resulting in a change in the total fee, an Addendum to this Agreement will be executed
to memorialize the new advisory fee.
Please review the written agreement(s) you execute for specific details on our fee and the TPIA's fee.
From the time to time and depending on your circumstances, your investment objectives may change
resulting in a modification in the TPIA and/or selected investment strategy. In these instances where a
change has been made involving the TPIA and/or investment strategy, the agreement you sign with
our firm may be updated via an addendum to clearly state the fees you will pay applicable to the
revised TPIA and/or investment strategy(ies). Additionally, we may select models managed directly by
our firm, which creates a conflict of interest as we have a financial incentive to recommend models /
strategies managed by our firm rather than other unaffiliated TPIAs. As a fiduciary, our firm only acts a
fiduciary where we serve in our client’s best interest.
The fees are charged monthly in arrears, and are based on the average daily balance of the portfolio
over the billing month. We also reserve the right to negotiate other fee-paying arrangements and/or we
may have engagements under different fee-billing arrangements depending on the inception of the
client relationship. If the portfolio management agreement is executed at any time other than the first
day of the calendar month, our fees will apply on a pro-rata basis, which means that the advisory fee is
payable in proportion to the number of days in the month for which you are a client. Our advisory fee is
negotiable, depending on individual client circumstances. All terms and payment arrangements will be
evidenced and disclosed in the agreement that you sign with our firm.
Generally, the TPIA will deduct our fee directly from your account through the qualified custodian
holding your funds and securities. Our fee will only be deducted from your account when the following
requirements are met:
• You provide our firm (and/or the TPIA) with written authorization permitting the fees to be paid
directly from your account held by the qualified custodian.
• The qualified custodian agrees to send you a statement, at least quarterly, indicating all
amounts dispersed from your account including the amount of the advisory fee paid directly to
our firm.
Where we provide discretionary management services to certain retirement accounts, such as a 401(k)
account, through a third-party web-based platform, clients may pay via ACH, or via another investment
account under our management at client’s acting custodian.
You may terminate the management agreement upon written notice to our firm. You will incur a pro
rata charge for services rendered prior to the termination of the portfolio advisory agreement, which
means you will incur advisory fees only in proportion to the number of days in the quarter for which you
are a client.
Additional Fees and Expenses
As part of our investment advisory services to you, we may invest, or recommend that you invest, in
mutual funds and exchange-traded funds. The fees that you pay to our firm for investment advisory
services are separate and distinct from the fees and expenses charged by mutual funds or exchange
traded funds (described in each fund's prospectus) to their shareholders. These fees will generally
include a management fee and other fund expenses. You may also incur transaction charges when
purchasing or selling securities. These charges and fees are typically imposed by the custodian
through whom your account transactions are executed. We do not share in any portion of the
transaction charges imposed by the broker-dealer or custodian. To fully understand the total cost you
will incur, you should review all the fees charged by mutual funds, exchange traded funds, our firm,
and others.
To the extent you require services from other professionals, such as an attorney and/or accountant, we
may work with the other professional upon your request. In these instances, you may incur fees
imposed by the third-party professional.

Item 7 Types of Clients We generally offer investment advisory services to individuals and high net worth individuals. In general, we do not require a minimum dollar amount to open and maintain an advisory account; however, we have the right to terminate your account if it falls below a minimum size which, in our sole opinion, is too small to effectively manage. |
