Item 5 – Fees and Compensation The fees and compensation payable to REX vary among the REX Shares ETF offerings and are further described in the applicable prospectus’ fee table. REX, in exchange for providing advisory services to the UCITS ETFs, receives a portion of the management fee which is calculated based on a set percentage of the assets under management as set forth in the corresponding supplement. REX’s compensation for providing advisory services to the Segregated Portfolios is described in the applicable IMA. Exchange Traded Funds (“ETFs”) REX, as the primary investment adviser to the REX Shares ETFs, performs its portfolio management services in exchange for compensation owed to the Firm as set forth in the fee table of the prospectus. The fees attendant to the REX Shares ETFs range based on the investment strategy of the investment offering but, in general, impose a management fee that varies depending on the specific offering as described in the fee table of the prospectus. Where applicable, the designated Sub-Adviser to the REX Shares ETFs receives a percentage of the fee for providing services to these offerings. The fund administrator or custodian for the REX Shares ETFs deducts applicable advisory or management fees and transmits our fee payment on a monthly basis. REX and, where applicable, the designated Sub-Adviser will furnish investment management and/or portfolio-related services to the REX Shares ETFs that our Firm manages whereas, in general, the administration, custodial, marketing, and/or distribution services are facilitated by other financial institutions who receive payment from the funds as described in the applicable prospectus and SAI. The REX Shares ETFs impose other expenses as further described in the fund prospectus. UCITS ETFs REX, in its capacity as Investment Manager to the UCITS ETFs, is entitled to receive advisory fees from the Manager. These fees are payable at such times and in such manner as may be agreed between the Manager and Investment Manager from time to time together with any value added tax payable thereon. The fee of the Investment Manager shall accrue daily and be payable monthly in arrears. REX has delegated certain responsibilities to a Sub-Investment Manager to support the management of these UCITS ETFs. The Sub-Investment Manager is compensated with a portion of the management fee earned. For additional information, refer to the applicable supplement. Segregated Portfolios REX receives a management fee payable monthly and calculated as a percentage of the daily net assets of each Segregated Portfolio under its advisement as specified under the advisory agreement. This fee is waived under the agreement and REX solely receives the fee attendant to the REX Shares ETF with which the Segregated Portfolio is associated. REX pays the expenses associated with the Segregated Portfolios as directed by the applicable governing documents. Additional Fees and Expenses The Fund Clients may incur additional fees and expenses as described in the applicable prospectus, supplement, and/or SAI. Information concerning additional fees and expenses for Segregated Portfolios is further described in the applicable governing documents. Termination and Refunds In connection with the REX Shares ETFs, termination and refunds are not applicable; however, investors may liquidate their holdings subject to the terms and conditions communicated in the prospectus. In the case of UCITS ETFs, both the Manager, HANETF, and Investment Manager, REX, may terminate the IMA subject to the prescribed terms and provisions thereunder. Investors may liquidate their holdings subject to the terms and conditions communicated in the supplement. For the Segregated Portfolios, the IMA provides that termination, in sum, may be exercised by either party at anytime subject to 60 days’ written notice. |

Item 7 – Types of Clients REX provides investment management services to the REX Shares ETFs, UCITS ETFs, and Segregated Portfolios. REX does not otherwise provide advisory services to any other RICs or other pooled investment vehicles nor does our Firm furnish direct advisory services to any retail investors as that term is defined by the SEC. REX does not open or maintain client accounts. To invest in REX Shares ETF(s) or the UCITS ETFs we manage, the investor must obtain financial services directly from a financial institution, an RIA or broker-dealer, to open an account and make an investment (subject to investment account minimums for the UCITS ETFs, as set forth in the applicable supplement). Investors must meet attendant eligibility requirements specific to the UCITS ETFs which are not, in general, available to US-based investors whereas the REX Shares ETFs are available to both US and non-US-based investors. The Segregated Portfolios are not available for direct investment by investors. |
