Item 5 – Fees and Compensation

The following paragraphs detail the fee structure and compensation methodology for services provided by the
Advisor. Each Client and/or Fund engaging the Advisor for services described herein shall be required to enter into
one or more written agreements with the Advisor.

Wealth Management Services
Wealth management fees are paid quarterly, in advance of each calendar quarter pursuant to the terms of the wealth
management agreement. Wealth management fees are based on the market value of assets under management at the
end of the prior calendar quarter. Wealth management fees range up to 2.00% annually based on several factors,
including: the scope and complexity of the services to be provided; the level of assets to be managed; and the overall
relationship with the Advisor. Relationships with multiple objectives, specific reporting requirements, portfolio restrictions
and other complexities may be charged a higher fee.

The wealth management fee in the first quarter of service is prorated from the inception date of the account[s] to the
end of the first quarter. Fees may be negotiable at the sole discretion of the Advisor. The Client’s fees will take into
consideration the aggregate assets under management with the Advisor. All securities held in accounts managed by
RGAIA will be independently valued by the Custodian. The Advisor will conduct periodic reviews of the Custodian’s
valuation to ensure accurate billing.

The Advisor’s fee is exclusive of, and in addition to any applicable securities transaction and custody fees, and other
related costs and expenses described in Item 5.C below, which may be incurred by the Client. However, the Advisor
shall not receive any portion of these commissions, fees, and costs.

For assets managed through a third-party platform, the Client is not charged any additional platform fees. The Advisor
bears the cost of the platform in order to service these Client assets. Advisory fees apply to assets accessed and
managed through the platform as part of the Client’s assets under management, as disclosed above.

Financial Planning Services
RGAIA offers financial planning services for a fixed fee ranging up to $10,000 per engagement. Fees may be negotiable
based on the nature and complexity of the services to be provided and the overall relationship with the Advisor. An
estimate for total costs will be determined prior to engaging for these services.

Private Fund Advisor Services
Certain Funds pay the Advisor a quarterly management fee in advance based on each Limited Partner’s capital account
balance. Management fees range up to 2.00% and is calculated as of the opening of business on the first business day
of each calendar quarter, after giving effect to any capital contributions, and is prorated for any period of less than a full
calendar quarter. The Advisor or SEP GP may, in its discretion and without notice to or consent of other Limited Partners,
waive or reduce the management fee for certain investors, including investors affiliated with the Advisor or its principals,
provided that any such waiver or reduction will not increase the management fee borne by any other Limited Partner.
Limited Partners should refer the respective Funds’ Offering Documents for additional information on
management fees.

B. Fee Billing
Wealth Management Services
Wealth management fees are calculated by the Advisor or its delegate and deducted from the Client’s account[s] at the
Custodian. The Advisor shall send an invoice to the Custodian indicating the amount of the fees to be deducted from
the Client’s account[s] at the beginning of the respective quarter. The amount due is calculated by applying the quarterly
rate (annual rate divided by 4) to the total assets under management with RGAIA at the end of the prior quarter. Clients
will be provided with a statement, at least quarterly, from the Custodian reflecting deduction of the wealth management
fee. Clients provide written authorization permitting advisory fees to be deducted by RGAIA to be paid directly from their
account[s] held by the Custodian as part of the wealth management agreement and separate account forms provided
by the Custodian.

Financial Planning Services
Financial planning fees are invoiced by the Advisor and are due upon completion of the agreed upon deliverable[s].

Private Fund Advisor Services
When the Funds charge a fee, the management fee is charged on the Limited Partner’s capital account, including any
portion attributable to designated investments maintained in any special situation account(s), as applicable. Limited

C. Other Fees and Expenses
Wealth Management Services
Clients may incur certain fees or charges imposed by third parties, other than RGAIA, in connection with investments
made on behalf of the Client’s account[s]. The Client is responsible for all custody and securities execution fees
charged by the Custodian, as applicable. The Advisor's recommended Custodian does not charge securities

Item 7 – Types of Clients

Wealth Management Services
RGAIA offers investment advisory services to individuals, high net worth individuals, trusts, estates, and businesses.
RGAIA generally requires a minimum relationship size of $500,000 to effectively implement its investment process.
However, RGAIA may waive this minimum at its sole discretion.

Private Fund Advisor Services
The Advisor also provides portfolio management services to pooled investment vehicles. The Funds are not
registered under the Investment Company Act of 1940, as amended (the “Investment Company Act”), in reliance on
the exemption provided by Section 3(c)(1) thereunder. Accordingly, the Funds are privately offered and are limited to
no more than 100 beneficial owners, subject to applicable beneficial ownership counting rules. In addition, interests
in the Funds are not registered under the Securities Act of 1933, as amended (the “Securities Act”), and are offered
in reliance on an exemption from registration under Rule 506(b) of Regulation D under the Securities Act. As a result,
the Funds are offered without general solicitation or general advertising.

Limited Partners in the Funds are generally expected to satisfy the applicable eligibility standards set forth in the
relevant Offering Documents. Depending on the particular Fund and offering, investors may include accredited
investors and, to the extent permitted, a limited number of non-accredited investors who satisfy applicable eligibility
requirements. Investors may include individuals, entities, trusts, estates, family offices, and other business
organizations. In addition, owners, principals, and other related persons of the Advisor may invest in one or more of
the Funds.

The requirements for investing in a Fund, including any applicable minimum investment amount, are set forth in the
relevant Offering Documents. The Advisor may, in its sole discretion, accept commitments below the stated minimum
investment amount.
