Item 5: Fees and Compensation

Management Fee

Certum's management fee arrangements vary by Client and by Series, as set forth in the applicable
Governing Documents and/or advisory agreement. Certain Series do not bear any management fee. Other
Series bear a one-time management fee equal to 5% of the capital actually deployed by or on behalf of that
Series in investments (i.e., invested capital), rather than a recurring fee and rather than a fee assessed on

committed or subscribed capital. Because the fee is charged only on capital as and when it is deployed, no
management fee is charged on undeployed commitments, on capital that is committed but never called or
invested, or on a recurring (e.g., annual) basis. The specific management fee applicable to a particular
Series, including whether any management fee applies, is disclosed in that Series' Governing Documents,
which control in the event of any inconsistency with this Brochure.

The management fee is generally calculated and assessed at the time capital is deployed to an investment
and is deducted directly from the assets or capital of the applicable Series / invoiced to and payable by the
applicable Series. Because the one-time fee is tied to deployed capital, it is not prepaid in advance of
investment and is not subject to a pro rata refund of the type associated with periodic fees; however, to
the extent any fee is collected with respect to capital that is ultimately not deployed, such amount will be
returned or credited as provided in the Governing Documents. Management fees are separate from, and
in addition to, the fees, costs, and expenses borne by the Clients described below and from any
performance-based compensation described in Item 6. Management fee terms are established by Certum
and may differ among Series and among investors, including as a result of negotiated arrangements or side
letters.

Underwriting Fee

With respect to certain Series, Certum (or the General Partner or an affiliate) may charge a one-time
underwriting fee, generally calculated as a percentage of the committed capital of the applicable Series and
payable once at the closing of the relevant Series or investment. The underwriting fee is intended to cover
transaction-related costs, including diligence, structuring, and execution costs associated with sourcing
and underwriting investments. The underwriting fee is not charged with respect to every Series, and
whether it applies, and the applicable rate, are set forth in the Governing Documents of the relevant
Series, which control in the event of any inconsistency with this Brochure.

Monitoring Fee

With respect to certain Series or investment in a Series, Certum (or the General Partner or an affiliate)
may charge an ongoing monitoring fee for its services in monitoring and administering investments over
their life. The monitoring fee is generally payable over time (typically monthly) and is either a fixed dollar
amount or a percentage of the committed capital of the applicable Series or investment in a Series, as
specified in the Governing Documents. The monitoring fee is not charged with respect to every Series,
and whether it applies, the applicable amount or rate, and the payment frequency are set forth in the
Governing Documents of the relevant Series, which control in the event of any inconsistency with this
Brochure.

Start–Up Costs

With respect to the Partnership as a whole (and, for the avoidance of doubt, not with respect to each
Series separately), the Partnership paid or reimbursed the General Partner or its affiliates for legal and
other organizational and offering expenses of the Partnership and the Partnership Related Entities (as
defined in the Governing Documents), including an allocable share of any expenses incurred by the General
Partner or its affiliates in connection with developing the forms of limited partnership agreements,
subscription agreements and other documents used by the Partnership and other investment vehicles on
the Firm’s platform (the “Start–Up Costs”).

Ongoing Expenses

On an ongoing basis, except for the expenses provided for below (Expenses Not Borne by the Partnership)
and Start–Up Costs described as being borne by the General Partner, the Partnership shall also pay, or
reimburse the General Partner or its affiliates, as applicable, for its payment of any and all expenses
incurred in connection with the activities of the Partnership (“Partnership Expenses”), to the extent
not paid by any other person (including by amounts received in connection with the termination,
cancellation or abandonment of a potential investment that is not consummated). Partnership Expenses
include, without limitation: investment due diligence and underwriting expenses; monitoring expenses;
legal fees and expenses (including the fees of outside counsel and litigation, enforcement, and collection
costs); fees and expenses of third-party advisers, consultants, experts, affiliated service providers (as
discussed in more detail in Item 10) and other outside professionals retained in connection with the
Partnership or its investments; investor portal, reporting, and investor-communication platform costs;
fund administration and administrator fees; financial bookkeeping, accounting, and recordkeeping costs;
audit fees; tax preparation, tax advice, and tax filing costs; valuation and pricing-service fees; custodial,
bank, escrow, and wire/transfer costs; insurance premiums and related costs (including litigation-related
insurance and any directors and officers, errors and omissions, or similar coverage); ongoing
governmental, regulatory, and compliance filing fees; entity-level taxes, fees, and other governmental

Item 7: Types of Clients

Certum intends to provide discretionary investment advice to private pooled investment vehicles as
described in Item 4 above.

The Partnership, in the General Partner’s sole discretion, has the right, from time to time, to establish
additional Series with different offering terms including with respect to, among other things, fees, minimum
and additional subscription amounts.

Each investor generally must qualify as an “accredited investor”, as defined in Regulation D under the U.S.
Securities Act of 1933 (the “Securities Act”).
