Item 5 Fees and Compensation
Portfolio Management Services
The annual fee for portfolio management services is billed quarterly in advance based on the asset
value on the last business day of the previous quarter. Fees will be assessed pro rata in the event the
portfolio management agreement is executed at any time other than the first day of a calendar quarter.
The annualized negotiable fee for discretionary and non-discretionary portfolio management services
are based on the following blended fee schedule:

Portfolio management fees may be negotiable depending on factors such as the amount of assets
under management, range of investments, and complexity of the client's financial circumstances,
among others.
Where we provide portfolio management services through the investment advisory program offered by
American Funds Service Company (disclosed under Item 4 above), our advisory fee is billed at 0.25%
of your portfolio assets up to $2,000,000, and 0.20% on portfolio assets over $2,000,000, which is
based on the average daily balance of your account. These services are billed on a quarterly basis, in
arrears (specifically, the last business day of February, May, August, and November).
If the portfolio management agreement is executed at any time other than the first day of a calendar
quarter, our fees will apply on a pro rata basis, which means that the advisory fee is payable in
proportion to the number of days in the quarter for which you are a client.
Clients may make deposits to, or withdraws from, their account(s) at any time. For deposits of $5,000
or more after the inception of a quarter, a management fee will be charged and pro-rated for the
number of days remaining in the quarter. Likewise, for withdrawals of $5,000 or more after the

inception of a quarter, the management fee already charged in the previous quarter will be pro-rated
for the number of days remaining in the quarter and a credit will be applied against the management
fee for the following quarter.
We will deduct our fee directly from your account through the qualified custodian holding your funds
and securities. We will deduct our advisory fee only when you have given our firm written authorization
permitting the fees to be paid directly from your account. Further, the qualified custodian will deliver an
account statement to you at least quarterly. These account statements will show all disbursements
from your account, and you should review all statements for accuracy. If you have any questions about
the statement(s) you receive from the qualified custodian call our main office number located on the
cover page of this Disclosure Brochure.
We encourage you to reconcile our invoices with the statement(s) you receive from the qualified
custodian. If you find any inconsistent information, please call our main office number located on the
cover page of this Brochure.
Either party may terminate the agreement upon 30-days written notice to the other party. Any
unearned, pre-paid fees will be promptly returned to the client, if applicable.
Financial Planning and Consulting Services
Applicable fees, fee payment arrangements, and the terms of the engagement will be clearly set forth
in the financial planning agreement executed between our firm and you client prior to services being
rendered. The time/cost will vary from client to client. Factors that are considered when determining
the cost of a financial plan, include, but are not limited to, the scope of the plan and the complexity of
the client's financial situation (i.e., trusts, estates, business ownership, tax brackets, and other personal
needs).
• Hourly Fees: For clients who request specific consulting related services, an estimate of the
total time/cost will be determined before the consulting session. The fees for hourly services
rendered are billed at a negotiable rate of $250 per hour. Depending on the work to be
performed and the anticipated duration of the engagement, we may require that you pay 50% of
the fee in advance, with the remaining portion due upon completion of the services rendered.
We will not require prepayment of a fee in excess of $1,200 for services not performed
within six months from the date of engagement. All unearned fees will be refunded on a pro
rated basis upon termination.
• Annual Retainer: For our Annual Retainer services, we typically charge a fixed fee ranging
from $1,000 to $10,000 where we provide ongoing financial planning and consulting services.
The fixed fee is determined at the beginning of the relationship, and is based on the work
requested, the amount of time necessary to complete the work, and the complexity of the
client's financial circumstances. After determining the scope of services that you require, we will
provide you with an estimate of the total fee for the services to be performed. Our annual
retainer fee is payable in four (4) separate installments on a quarterly basis in advance. The
first payment will be due upon engaging our services. In certain circumstances where clients
require limited consultations over the course of the year, we may negotiate a fixed fee below
$1,200 that is collected in advance. All terms, including the exact dates when payment is

Item 7 Types of Clients We offer investment advisory services to individuals, pension and profit sharing plans, trusts, estates, charitable organizations, corporations, and other business entities. In general, we require a minimum of $100,000 to open and maintain an advisory account. At our discretion, we may waive this minimum account size. For example, we may waive the minimum if you appear to have significant potential for increasing your assets under our management. We may also combine account values for you and your minor children, joint accounts with your spouse, and other types of related accounts to meet the stated minimum. |
