Item 5: Fees and Compensation

The fees applicable to each of the Funds are set forth in detail in the corresponding investment
management agreements. A brief summary of such fees is provided below.

Management Fee

Routeburn receives an annual fixed management fee (the “Management Fee”) per annum for
the SPPIVs.

Other Types of Fees or Expenses

The Firm is responsible for and shall pay, or cause to be paid, all general overhead, travel, salary
and office expenses (which includes the rent of the office space, compensation and benefits of
the professional and administrative staff of the Firm, maintenance of its books and records, and
its fixed expenses, telephones and general purpose office equipment).

The SPPIVs will bear certain expenses incurred on behalf of the SPPIVs in accordance with the
investment management agreements. Depending on the SPPIV, these expenses may include
investment expenses, whether or not such investments are consummated (such as brokerage
commissions, expenses relating to short sales, clearing and settlement charges, custodial fees,
bank service fees and interest expenses), fees and expenses related to obtaining research and
market data (including Investment Research), third-party professional fees (including expenses
of consultants, investment bankers, attorneys, accountants and other experts) relating to
investments attributable to the Account. All duties, taxes or government charges which may be
payable on the assets, income or expenses attributable to the SPPIV. All brokerage, bank fees,
charges and commissions attributable to the SPPIV. Operating expenses including fees payable
to the administrator, custodian and other service providers, legal and auditing expenses incurred
in preparing all reports, and tax information for the SPPIV.

Routeburn offers advisory services to the SPPIVs, as described in Item 4 above. In the future,
Routeburn may provide advisory or other services to non-retail Clients.
