Item 5 – Fees and Compensation

      Description
         SFA’s fees are established in a written agreement with SFA for each client. Fees are
         negotiable.
      Fees
         Financial Services Agreement Fee:
         Annual Fee - $2,000 - $80,000
         In a Financial Services Agreement, SFA charges a fixed annual fee payable in quarterly
         installments, in advance, based upon itss understanding of the complexity of a client’s
         financial situation and the scope, amount, type, and extent of the services needed by the
         client.

         Add-ons, credits, and miscellaneous adjustments: A minimum charge of $300 is assessed for each
         amended tax return prepared, if applicable. Credits and miscellaneous adjustments may be
         applied, as deemed appropriate, discretion on SFA’s management.

         Investment Management Agreement Fee:
         SFA charges an annual fee based on a percentage of assets under management, payable in
         quarterly installments, in advance, calculated on the fair market value of the account(s) on
         the last business day of the preceding quarter. A prorated adjustment of the fee will be
         made for any assets added to or withdrawn from the account during the quarter. The fee
         will be determined based on the following maximum schedule:

   Independent Manager Fee:
   For Financial Services and Investment Management clients, Asset Dedication charges its
   fee for the provision of ongoing investment management services separately and in
   addition to SFA’s Financial Services Agreement Fee above (“Independent Manager Fee”).
   Asset Dedication’s fee is outlined in its ADV Parts 2 and 3 that clients receive. SFA has
   negotiated the Asset Dedication’s fee on behalf of its clients. Asset Dedication’s fee is
   contingent upon SFA’s maintaining a specific amount of assets under management with
   Asset Dedication. As such, the fee paid by the Client to Asset Dedication moves higher
   or lower depending not on the size of the Client’s individual account, but on the overall
   level of assets under management held by SFA with Asset Dedication. Asset Dedication’s
   fee is payable quarterly, in advance, using the value of the Assets under its management at
   the end of each quarter. Client authorizes Asset Dedication to deduct the Independent
   Manager Fee directly from Client’s Account held at the independent qualified custodian.
   For Accounts established with Asset Dedication in the middle of a calendar quarter, Asset
   Dedication will prorate its fee from the date the Client’s Account was funded. Upon
   termination, Asset Dedication will refund any unearned fees on a pro-rated basis.
   Project Retainer Fees:
   Services under the Project Retainer are typically provided on a flat-fee basis. SFA may
   negotiate an hourly fee of $250 - $500 per hour for custom project requests.
   The cost for a Financial Review is a flat fee of $2,500 with one-half due at the time of
   engagement and the balance due at the beginning of the Financial Review appointment.
   Other Project Retainer fees are due at the beginning of the engagement. At SFA's
   discretion, one-half of the fee may be assessed at the beginning of the engagement and the
   remainder upon completion.
   Tax preparation work performed outside any other agreement has a minimum fee for of
   $250. Eligible federal and applicable state returns are filed electronically without an
   additional fee.
Fee Billing
   Financial Services Agreement and Investment Management Agreement fees are billed on
   a quarterly basis, in advance. Financial Services and Investment Management clients
   authorize SFA to deduct its fee directly from the client’s account held at an independent
   custodian. Clients authorize SFA to instruct the custodian to deduct its fee from the
   account as it becomes due and payable. If the client has more than one account, SFA will
   make the determination as to which account the fee is taken from based on the client’s
   best interest or their instruction. Clients acknowledge and expressly consent to SFA billing

         their accounts disproportionately for fees if necessary due to insufficient funds in any
         account, or if doing so is deemed by SFA to be in their best interest. In the event that SFA
         cannot directly deduct its fee from the client’s account or if the client elects to pay SFA’s
         fee directly, SFA will invoice the client for the fee as it becomes due and payable. When
         payment is made directly, SFA accepts payment by check or third-party vendor.
         Project engagement fees for the limited hourly or fixed-fee engagements are billed directly
         to the client either after the services are performed or as otherwise agreed. Payment is
         made directly to SFA via check.
      Other Fees
         Custodians may charge transaction fees for the purchases or sales of certain mutual and
         exchange-traded funds. These transaction charges are usually small and incidental to the
         purchase or sale of a security. The selection of the security is more important than the
         nominal fee that the custodian charges to buy or sell the security.
         While SFA attempts to obtain the lowest transaction costs available, the actual commission
         fee structure is ultimately determined by the executing broker.
      Expense Ratios
         Mutual funds generally charge a management fee for their services as investment managers.

Item 7 – Types of Clients
          SFA generally provides holistic financial planning services primarily to individuals and
          families. We enjoy working with people from all different walks of life. As such, we
          maintain no minimum net worth or asset requirements. As discussed above, your chosen
          relationship agreement and fee will be based on your individual circumstances.
