Item 5. Fees and Compensation SCA charges fees based on a percentage of assets under management or advisement, hourly charges and fixed fees. It does not maintain a fee schedule but negotiates its fees with individual clients as described below. Fees are based on a combination of factors including the size of the account, number of managers involved, the amount of work expected to be performed and the length of the contract. Asset-based fees typically range between 30 and 100 basis points per year on a sliding scale. Flat fee Sindia Capital Advisers, LLC (IARD#333325) March 2026 pricing is used with some accounts. The range of Flat fee pricing is between $25,000 to $100,000 annually. All fees are negotiable and subject to change. Clients are invoiced quarterly in arrears or advance, and fees are due and payable within 30 days of the invoice. Fees may be deducted directly from client accounts or invoiced, depending upon the client’s preference. Sub-Advisory Fees SCA may be engaged as a Sub-Advisor. In these scenarios, SCA’s fee will be negotiated with the Advisor and the actual client will continue to pay the same investment advisory fee. SCA’s fee in these circumstances may be lower than the range set forth above. Client portfolios are subject to other fees and charges in connection with investments made which are in addition to SCA ’s advisory fee described above. These fees and charges may include sub-advisory fees for asset managers advising on separate accounts, clearing, custody and other transaction charges, service fees and/or internal expenses collected by mutual funds, alternative investments, and similar pooled investment products. Product-related expenses are set forth in mutual fund prospectuses and alternative investments subscription agreements and may include distribution and management fees. These fees and charges are in addition to SCA’s advisory fee described above. A client could invest in a mutual fund or alternative investment directly without the services of Sindia Capital. SCA will work with the clients to select the most appropriate brokerage and clearing services firm for its investment management accounts. For more information on brokerage, please see Item 12 of this Brochure. SCA may only implement its investment management recommendations after the client has arranged for and furnished SCA with all information and authorization regarding accounts opened with the custodian. SCA’s Agreement and the separate agreement with the custodian may authorize SCA or Independent Managers to debit the client’s account for the amount of SCA’s fee and to directly remit that management fee to SCA or the Independent Managers. The custodian will send a statement to the client, at least quarterly, indicating all amounts disbursed from the account including the amount of management fees paid directly to SCA. Alternatively, clients may elect to have SCA send an invoice for payment. Fees for Management During Partial Monthly Service For the initial period of investment management services, the fees are calculated on a pro rata basis. The Agreement between SCA and the client will continue in effect until terminated by either party pursuant to the terms of the Agreement. If the Agreement is terminated prior to the end of a calendar month, the fee for the final month will be pro-rated accordingly and the client will be forwarded any refund via check or ACH Account Deposits/Withdrawals Clients may make additions to and withdrawals from their account at any time, subject to SCA’s right to terminate an account. Additions may be in cash or securities provided that SCA reserves the right to liquidate any transferred securities or decline to accept particular securities into a client’s account. Clients may withdraw account assets on notice to SCA, subject to the usual and customary securities Sindia Capital Advisers, LLC (IARD#333325) March 2026 settlement procedures. However, SCA designs its portfolios as long-term investments and the withdrawal of assets may impair the achievement of a client’s investment objectives. SCA may consult with its clients about the options and ramifications of transferring securities. However, clients are advised that when transferred securities are liquidated, they are subject to transaction fees, fees assessed at the mutual fund level (i.e., contingent deferred sales charge) and/or tax ramifications. |
