Item 5 Fees and Compensation
We are generally compensated in two ways for our investment advisory services: (i) in the form of
management fees and (ii) performance-based fees.

Our management fee is 1% of the net asset value of the capital accounts of the shareholders of the
Fund. The management fee is payable quarterly in arrears based the net asset value.

The Performance Fee is equal to 10% of the aggregate net gain allocated quarterly to investors' capital
accounts, subject to a high-water mark. For example, if the capital account of an investor investing
$500,000 were to increase to $600,000 by the end of the first quarter, we will have earned a
Performance Fee equal to $10,000, being 10% of the $100,000 net gain. If at the end of the second
quarter, the capital account had decreased to $450,000, no Performance Fee would be due. If at the
end of the third quarter, the capital account had increased to $675,000, a Performance Allocation of
$7,500 would be due to us. The Performance Allocation would be calculated on the gain in excess of
the high-water mark of $600,000, or 10% of $75,000.

We may, in our sole discretion, waive, reduce or modify fees payable with respect to any investor in
the Fund (but without any concurrent increase in any other Fund investor's share of such fees).

An investor may request a redemption of part or all of their shares in the Fund upon at least thirty (30)
days prior written notice to us. We will cause the shares to be redeemed on the nearest month-end
following the 30-day notice period. Payment of any partial redemption generally will be made within
fifteen (15) days after the redemption date. If an investor requests redemption of more than 90% of
their shares in the Fund, up to 10% of the redemption amount may be withheld until the Fund receives
its year-end financial statements for the fiscal year during which the redemption was made. We may
vary these redemption terms, in whole or in part, for certain investors, in our sole discretion.

Fees on Illiquid or Side-Pocketed Assets
Certain investors may be charged management fees and/or performance-based compensation with
respect to assets that are illiquid or classified in a side pocket, including during periods when such
assets are not redeemable. These fees will be accrued and will be paid until the assets in the side
pocket becoming liquid. Fee calculations may be based on cost, estimated value, or realized value, as
specified in the Fund documents.

Because valuations of illiquid and side-pocketed assets may be subjective, the timing and amount of
performance-based fees may differ from those associated with liquid investments, and fees may
be earned prior to the ultimate realization of investment gains. Investors should carefully review the
applicable fund offering documents for a complete description of fee calculations and related risks.

Additional Fees and Expenses
The Fund is responsible for all direct costs, fees and expenses incurred by or on behalf of the Fund in
connection with its organization, management and operation, including: (i) all costs, fees and expenses
of the Fund directly related to the purchase, sale, valuation or retention of securities by the Fund
(including all fees and commissions of brokers and custodians, pricing services, all fees and
disbursements of independent attorneys and accountants, all fees and expenses relating to the
registration and qualification for sale of such securities and all transfer taxes); (ii) all Federal, state and
local taxes and filing fees payable by the Fund; (iii) all costs, fees and expenses of the Fund relating to
Shareholder's meetings and the preparation and mailing of reports and notices to Shareholders; (iv) all
fees and disbursements of the Fund's independent attorneys, accountants and consultants; (v) all filing

and recording fees; (vi) all interest expenses of the Fund; and (vii) any extraordinary expenses of the
Fund. The investor will not be burdened with any of the general overhead expenses of our Company
(such as rent, salaries and equipment costs).

Item 7 Types of Clients
Interests in the Fund are offered and sold exclusively to investors satisfying the applicable eligibility
criteria set forth in the Fund's Governing Documents. Typically, investors are high net worth individuals
and other similarly qualified persons. The principals, employees, and beneficial owners of our
Company and its affiliates may invest in the Fund as detailed in the Fund's Governing Documents.

In general, we require a minimum of $100,000 to invest in the Fund.
