Item 5 - Fees and Compensation

Compensation for Advisory Services
Sortis receives a 1.75% - 2.00% annual management fee of the offering proceeds or the greater of
the fair market value or offering proceeds, depending on the Fund. Investors should consult the
specific fund Governing Documents for the specific compensation for each Fund. In general, Sortis
will receive 1/12th of the annual management fee that shall be calculated on the last day of each
calendar month and paid within 10 days thereafter. The management fee includes certain costs and
expenses incurred by Sortis for its services in managing the Funds. These costs include those
related to executive management and financial oversight of the Funds, day-to-day external
accounting services; Member management; office administration; document development and
production; development and maintenance of computer software or cloud-based applications; tax
preparation; Funds governance; general, comprehensive business insurance and key man life
insurance, if any; regulatory filings; and monitoring the status of investments as they progress.

Expenses of the Funds may also include banking fees, servicing fees, accounting fees,
administration fees, corporate registration and registered agent fees, professional fees for legal,
accounting, and tax professionals, printing costs, postage, and technology costs, marketing,
offering, purchase or sale of investments including third party expenses incurred in connection
with unconsummated transaction; custodial fees, guarantee fees, annual meetings of Members,
insurance, litigation, wholesale, fees associated with our affiliates conducting business for the
funds; acquisition. For a complete summary of fees and expenses, please see each Fund’s
individual Offering Documents.

Sortis also receives a Performance Fee as set forth in Item 6 of this brochure.

Other Fees
The Funds will incur fees from custodians, administrators, and other service providers. These fees
are incurred as a result of managing a fund’s accounts and are charged by the service provider.
The amount and nature of these fees are based on the service provider’s fee schedule(s) at the
provider’s sole discretion. These additional charges can include transaction fees, custodial fees,
margin costs, accounting fees, wire transfer and electronic fund fees, and other fees related to the
administration of the funds. These fees are separate and distinct from any fees charged by the
Adviser.

Conflict of Interest Between Different Fee Structures
Sortis offers several different Funds detailed in this brochure that compensate Sortis differently
depending on the Fund selected. Sortis and its associated personnel therefore have an incentive to
deliver transactions to certain Funds that offer Sortis a higher level of compensation through either

higher management fees or reduced administrative expenses. Sortis attempts to mitigate this
conflict through its allocation procedures for Fund investments. Further, Sortis is committed to its
obligation to ensure associated persons adhere to the Sortis’ Code of Ethics and to ensure that
Sortis and its associated persons fulfill their fiduciary duty to clients or investors.

Termination of Agreements
Investor termination or redemption provisions are disclosed in each Fund’s Governing Documents.
Investors should consult the Governing Documents of the Fund in which they are investing to
determine if there is any redemption ability and what, if any, lock up period exists.

Commissionable Securities Sales
Neither Sortis nor its associated persons sell financial products on a commission-basis.

Item 6 - Performance Fees

Sortis charges The Sortis Income Fund, LLC a 15% performance fee. The Sortis Rescue Fund,
LLC, Sortis OZ NIR, LLC, Sortis OZ Tukwila, LLC and the Sortis Opportunity Zone Fund I, LLC
all have a Manager Share of Available Cash of 20% - 30% after certain thresholds for Member
returns have been met. For these investments, refer to their Governing Documents for the
calculation of the performance fees.

Please note that by receiving varying levels of performance-based compensation depending on the
Fund, Sortis has an incentive to direct the best investment ideas or otherwise favor those Funds
that pay higher performance-based compensation in order to achieve higher returns for those Funds
so that Sortis ultimately obtains more compensation. In attempt to mitigate this conflict of interest,
Sortis has allocation procedures in place so Funds paying higher performance fees are not favored
over Funds paying lower performance fees.

Types of Clients
Sortis provides investment advice only to private funds. The minimum initial investment in the
Funds is determined by the General Partner and set forth in the Funds’ Governing Documents. The
General Partner may waive such minimum at its discretion.
