Item 5 Fees and Compensation
Fee Billing and Schedule
    Spyglass bases its fees on a percentage of assets under management or, on
    a limited basis, hourly charges.
    The annual investment management fee is based on a percentage of the
    investable assets under management according to the following schedule:
             _1.00%_ on the first $1,000,000;
             _0.75%_ on the next $2,000,000 (from 1,000,001 to 3,000,000);
             _0.50%_ on the next $2,000,000 (from 3,000,001 to 5,000,000); and
             _0.35%_ on the assets above $5,000,000
    The asset-based fee schedule set forth above is ‘tiered’ or ‘blended’ such that
    each listed range of assets under Spyglass’ management shall be charged at
    the listed corresponding annual fee. Investment management fees are billed
    quarterly, in arrears, meaning that Spyglass invoices the client after the billing
    period has ended. The average daily value of securities and other assets in a
    client’s account(s) during the applicable billing period and designed to be
    under Spyglass’ management are included for purposes of calculating the
    asset-based fees set forth above. Fees are deducted from a designated client
    account to facilitate billing. Fees are prorated based on the date that a client’s
    assets are first designated to be under Spyglass’ management up to the
    termination date of the advisory agreement.
    Occasionally Spyglass will charge an hourly fee of $100 for projects that are
    limited in scope.
    Fees are negotiable and current client relationships may exist where the fees
    are different from the fee schedule above.

Termination of Agreement
    Although the Investment Management Agreement is an ongoing contract, the
    length of service to the client is at the client’s discretion. The client or
    Spyglass may terminate the Agreement by written notice to the other party at
    any time. At termination, fees will be billed on a pro rata basis for the portion
    of the billing period completed. The portfolio value as of the day of
    termination is used as the basis for the fee computation, adjusted for the
    number of days during the billing period prior to termination.

Other Fees
    In addition to the fees charged by Spyglass, clients will incur brokerage and
    other transaction costs. Please refer to Item 12: Brokerage Practices, for

further information on such brokerage and other transaction-related practices.
Depending on the specific investment products held in a client’s account and
the services provided, a client may also incur additional fees and costs
charged by other independent and unaffiliated third-parties. Such additional
fees and costs may include, but are not necessarily limited to, the internal
fees and costs of an investment product (like a mutual fund or exchange
traded fund), margin interest, account or asset transfer fees, subadvisory or
third-party investment manager fees, account type fees, early redemption
charges, market-maker or bid-ask spreads, retirement plan fees, trade-away
or prime brokerage fees, fees for receiving paper copies of documents in lieu
of electronically-delivered documents, and other fees and taxes on brokerage
accounts and securities transactions.
To the extent Schwab Asset Management® is retained to manage all or a
portion of a client’s accounts, an additional asset-based management fee of
up to 0.15% per year charged directly by Schwab Asset Management® shall
apply (as calculated based on the value of the assets managed by Schwab
Asset Management®). Spyglass does not share in this management fee
payable to Schwab Asset Management®.
The additional fees and charges set forth above are separate and apart from
the fees charged by Spyglass, and Spyglass does not receive any portion of
these fees. Lower fees for comparable services may be available from other
sources.
