The investment advisory f ee in the f irst quarter or month of service is prorated f rom the inception date of the
account[s] to the end of the f irst quarter or month. Fees may be negotiable at the sole discretion of the Advisor.
The Client’s f ees will take into consideration the aggregate assets under management with the Advisor. All
securities held in accounts managed by Stance will be independently valued by the Custodian.,
Sub-Advisory Services – Sub-advisory f ees may be paid monthly or quarterly, in advance or arrears, pursuant to
the terms of the sub-advisory agreement between the Advisor and the Third -Party RIA. For sub-advisory services
to the Registered Fund, f ees are billed at an annual rate of 0.40%.
Use of Independent Managers – As noted in Item 4, the Advisor will implement all or a portion of a Client’s
investment portf olio utilizing one or more Independent Managers. To eliminate any conf lict of interest, the Advisor
