Item 5 – Fees and Compensation
INVESTMENT MANAGEMENT SERVICES
SPWMFO charges fees based on a percentage of assets under management for its Investment
Management Services. The specific fees charged by SPWMFO for its Investment Management
Services will be set forth in each client’s written Investment Advisory Agreement. Advisory
fees are negotiable under certain circumstances at the sole discretion of SPWMFO, and
arrangements with any particular client can differ from those described below. Although
SPWMFO believes its advisory fees are competitive, clients should be aware that lower fees
for comparable services may be available from other sources.
Asset-Based Fees
The Firm’s maximum annual Investment Management Services advisory fee for clients
paying a percentage of assets under management is 2.00%. The specific investment
management fee charged to a client is set forth in each client’s Investment Advisory
Agreement and is determined based on the size of the assets under management, complexity
of the portfolio, extent of activity in the account and/or other reasons agreed upon by
SPWMFO and the client.
Generally, SPWMFO charges investment advisory fees quarterly in advance due on the first
business day of each quarter and is based on the market value of the client's account assets
on the last business day of the immediately preceding quarter. For offerings on Orion
Portfolio Solutions, we bill monthly in arrears based on the average daily balance of the
account for the previous month. For arrangements on Orion’s Brinker Capital Investment

platform we bill quarterly in advance. When billing in advance, Clients may also be billed for
additional monies added to their account during the advisory fee period.
In individual cases, SPWMFO has the sole discretion to negotiate fees that are lower than the
standard fee shown or to waive fees. Fees are not based on the share of capital gains or
capital appreciation of the funds or any portion of the funds. Comparable services for lower
fees may be available from other sources. Fees for an initial quarter will be prorated based
upon the number of calendar days in the calendar quarter that the advisory agreement is in
effect.
SPWMFO provides financial planning services for new clients that become Investment
Management clients and for existing Investment Management clients as part of the ongoing
client relationship. In these situations, financial planning services are included in the fees for
Investment Management Services except for unique circumstances that may require a
separate agreement for Financial Planning Services for a Fee (discussed below). If the
situation warrants separate Financial Planning Services for a Fee, it will be discussed
upfront, and a separate Financial Planning Services for a Fee Engagement Agreement will be
negotiated.
As authorized in the Investment Advisory Agreement, the account custodian will withdraw
SPWMFO’s advisory fees directly from your accounts. Each custodial statement received by
the client includes the amount of any fees paid to SPWMFO for advisory services. Clients
should carefully review the details from their custodian’s statement and verify the
calculation of fees charged. Your custodian does not verify the accuracy of fee calculations.
SPWMFO does not have a minimum to open and maintain an Investment Management
Services advisory account. SPWMFO, in its sole discretion, may reduce its advisory services
fees, and reduce or waive its annual fee minimum based upon certain criteria (i.e.,
anticipated future earning capacity, anticipated future additional assets, dollar amount of
assets to be managed, related accounts, account composition, servicing needs, negotiations
with client, etc.). Certain legacy clients may have accepted different service offerings from
SPWMFO and may therefore receive different services under different fee schedules than as
set forth above. As a result of these factors, similarly situated clients could pay different fees,
and the services to be provided by SPWMFO to any particular client could be available from
other advisers at lower fees.
When investments or other financial products are recommended by the firm, clients are
under no obligation to purchase them from firm members and are free to associate with any
attorney, accountant, brokerage firm, insurance agent, or other provider they may choose. If
such transactions are provided by a licensed firm member, all fees, commissions, or other
compensation will be assigned to the firm.

FINANCIAL PLANNING SERVICES FOR A FEE
Clients may also engage the firm by way of an annual Financial Planning Services for a Fee
with no expectation that they will act on recommendations or invest in or purchase any
financial products or services offered by firm members which may be considered a conflict
of interest to objective planning advice.
The terms, conditions, disclosures, effective date, and pricing of each client engagement is
formalized in a Financial Planning Services for a Fee Engagement Agreement signed by both
the Client and a member of the Firm.
Costs for Financial Planning Services for a Fee are dependent upon several factors, including
the level and scope of the services provided, the type of planning selected by the client, the
complexity of the client situation and the professional rendering the financial planning
services. Costs are negotiable. Unless otherwise agreed by Client and Advisor in writing, the
fees to be charged for Financial Planning Services for a Fee are separate and distinct from
the fees charged for Investment Management Services.
