Item 5. Fees and Compensation We charge different fees based on whether our advisory service is provided to individual clients or to other registered investment advisors. These fees are discussed below. Sub-Advisory services provided to other registered investment advisors When we provide service to other registered investment advisors, we charge an annual fee based on the amount of assets under management. This management fee varies between 0 and 200 basis points (0.00% - 2.00%), depending on the size of the portfolio, the type of services rendered, and the complexity of the service we provide. For index options managed by us, we calculate the assets under management as the absolute value of value-at-expiration of box spread options. For example, if a combination of box spread options will result in a fixed payoff of -$100,000 at expiration, we calculate it as $100,000 for the purpose of calculating management fees. Other registered investment advisors grant us trading discretion on a client account but direct us to manage only a specific portion of the account as a sub-advisor. In those cases, we calculate assets under management based solely on the portion of the account that we manage. Discretionary advisory services provided to individuals and businesses When we provide discretionary services to individual clients and businesses, we charge an annual fee based on the amount of assets under management. This management fee varies between 0 and 200 basis points (0.00% - 2.00%). For index options managed by us, we calculate the assets under management as the absolute value of value-at-expiration of box spread options. For example, if a combination of box spread options will result in a fixed payoff of -$100,000 at expiration, we calculate it as $100,000 for the purpose of calculating management fees. We can, in our sole discretion, negotiate the specific fees for our services on a per-client basis. The specific fee charged by the Firm for its advisory services will be outlined in each client’s Investment Advisory Agreement. SyntheticFi charges this fee monthly in arrears. Clients authorize and direct SyntheticFi to instruct the Custodian to deduct the Fee directly from the Client’s custodial account or charge the linked funding source (“Linked Funding Source”), such as a credit card, and pay the Fee to SyntheticFi. Upon engaging SyntheticFi to manage such Account(s), a Client grants SyntheticFi this limited authority to deduct the Fee through a written instruction to the Custodian of his/her Account(s). Fees are invoiced and billed directly to the client. Clients pay the advisory fee even if they do not make any transactions. Each time a client uses our advisory services, they reaffirm their agreement that we may charge their account for the specified period. In the event that we cannot charge Advisory Fees to the Linked Funding Source, we reserve the right to terminate their access to our advisory services. Pursuant to the advisory agreement entered into with the client, the client generally can terminate advisory services through the website or by submitting a written notice. The Firm can generally terminate an advisory agreement at any time. If a client terminates our services, the Firm will charge any advisory fees through the termination date. For intra-month terminations, the amount of the advisory fee refund will be pro-rated to the termination day, using the termination date’s closing assets. The client will receive statements at least quarterly from the client’s account custodian and is encouraged to review all account statements for accuracy. Non-discretionary advisory service provided to individuals When we provide service to individual clients on a non-discretionary basis, we charge a flat monthly advisory fee of no more than $200 per month, on a fixed fee basis. For this fee, we consider the size and length of term of the box spread positions the client wants to trade open. We can, in our sole discretion, negotiate the specific fees for our services on a per-client basis. The specific fee charged by the Firm for its advisory services will be outlined in each client’s Investment Advisory Agreement. SyntheticFi charges this fee monthly in advance. Item 7. Types of Clients Clients participating in advisory services include high net worth individuals, other registered investment advisors, and small businesses. There is no account minimum. SyntheticFi reserves the right to impose a minimum or maximum account size or value in the future at its discretion. If and when SyntheticFi chooses to impose a minimum or maximum account size, SyntheticFi will provide written notice to all Clients by amending this Brochure. |
