Item 5: Fees & Compensation

Compensation for Our Advisory Services

Asset Management Services:
When our firm enters into an Advisory Contract to provide portfolio management services to an
Institutional or High Net Worth client through a separate account (“Separate Account Clients”),
we will charge each such separate account a fee at a specified annual percentage rate of the
account’s assets under management. The standard fee rates for separate accounts are listed
below. However, the fees charged to separate accounts are negotiable and will typically vary
depending on a number of factors including, but not limited to: the type of client; whether the
client wishes to impose particular restrictions on the firm’s discretionary investment authority (e.g.,
restrictions on the types of securities that can be acquired for the account); and the amount of
client assets under management, and other business considerations. The fee rates listed below

do not include fees that a separate account client pays to other third party service providers, such
as custodian, third party money manager, consultant, brokerage, and exchange.

Outsourced Chief Investment Officer Program:
Our firm is compensated for providing investment models to clients. Our firm’s current manager
fees range from 0.25% to 1.00% for each account that is part of the OCIO program.

Private Funds:
We typically receive an investment management fee from each Private Fund that we advise. The
fee is negotiated individually with each Private Fund and disclosed in the applicable private
placement memorandum or operating agreement.

In general, management fees range from 1% to 2% per annum of committed or invested capital
and can be charged quarterly or annually. Some Private Funds can also pay us a carried interest
or performance-based fee, typically a percentage of profits realized upon the disposition of
investments, after a preferred return is distributed to investors. In addition to a percentage of
profits realized, we also may be compensated in other ways as well from Private Funds. The
specific terms of these fees and any preferred return or hurdle rate are disclosed in each Private
Fund’s governing documents.

We may also receive reimbursement from the Private Fund for certain expenses incurred in
connection with the formation of the Private Fund or the management of its investments, such as
legal fees, due diligence costs, or administrative services.

Our fees are not negotiable by individual investors, and investors should consult the Private Fund
documents for the precise terms.

Asset Manager Consulting

Fees for consulting services are typically charged on an hourly or fixed-fee basis and are outlined
in a separate agreement specific to each engagement. These fees are negotiable and vary
depending on the scope, complexity, and duration of the consulting assignment. Consulting fees
are invoiced periodically or upon project completion, as agreed with the client. These fees are
separate from any investment advisory fees charged for portfolio management services. We do
not receive performance-based fees for consulting services.

Other Types of Fees & Expenses

Mutual Funds/ETFs
As part of our investment advisory services our firm may invest, or recommend that you invest, in
mutual funds and exchange traded funds. The fees that you pay to our firm for investment advisory
services are separate and distinct from the fees and expenses charged by mutual funds or
exchange traded funds (described in each fund's prospectus) to their shareholders. These fees
will generally include a management fee and other fund expenses. You will also incur transaction
charges and/or brokerage fees when purchasing or selling securities. These charges and fees are
typically imposed by the broker-dealer or custodian through whom your account transactions are
executed. Our firm does not share in any portion of the brokerage fees/transaction charges
imposed by the broker-dealer or custodian.

Margin Balance and Margin Interest
If suitable for you, our firm may use margin on your account(s) for the purpose of borrowing funds
and/or securities purchases. If a margin account is opened, you will be charged interest on any
credit balance extended to or maintained on your behalf at the broker-dealer. While the value of
the margined security will appear as a debit on your statement, the margin balance in an
account(s) will be assessed an asset-based advisory fees based on the gross value of the
account(s) without any offset for margin or debit balances. With respect to short sales, the client
will be assessed an asset-based advisory fees based on the value of the security sold short, but
not on the proceeds received upon initiation of the short sale. If you purchase securities on margin
you should understand: 1) the use of borrowed money will result in greater gains or losses than
otherwise would be the case without the use of margin, and 2) there will be no benefit from using
margin if the performance of your account does not exceed the interest expense being charged
on the margin balance plus the additional advisory fees assessed on the securities purchased
using margin. This creates a conflict of interest where we have an incentive to encourage the use
of margin to create a higher market value and therefore receive a higher fee.

Clients may also pay holdings charges imposed by the chosen custodian for certain investments,
charges imposed directly by a mutual fund, index fund, or exchange traded fund, which shall be
disclosed in the fund’s prospectus (e.g., fund management fees and other fund expenses),
distribution fees, surrender charges, variable annuity fees, IRA and qualified retirement plan fees,

Client Types:
Our firm has the following Client types: Individuals and High Net Worth Individuals; Trusts, Estates
or Charitable Organizations; Pension, Retirement Plans, and Profit Sharing Plans; Corporations,
Limited Liability Companies and/or Other Business Types.

Account Requirements:
There will be a minimum dollar amount imposed by the Private Fund’s documentation. Each
Private Fund will have its own minimum dollar amount.
