Item 5. Fees and Compensation As compensation for its services, the Adviser’s fee generally includes a management fee (the “Management Fee”) based upon invested capital in the Fund. The Management Fee will vary depending upon the specific investor’s capital commitment to the Fund and can range from 150 to 175 basis points (1.50% – 1.75% per annum). The Management Fee is prorated and charged quarterly, in advance. While this is the Firm’s fee for managing the Fund, the Firm also charges fees for its services to its investments that will vary and be described in the offering documents of that investment. The distribution proceeds to investors and the Firm are net of expenses, including, but not limited to, the Management Fee, organizational expenses and reserves determined by the general partner of the Fund. The distributions will be disclosed specifically in the Governing Documents, but will generally include: i) an initial amount distributed to investors until they have received their capital contributions; ii) distribution to investors until they have received the preferred return; iii) a general partner catch-up; and iv) a split of the remaining distributions between the investors and the general partner (the “Carried Interest”). Investors should carefully review the Governing Documents of the Fund. The Governing Documents include details of the Management Fees and distribution process as well as any limitations, including clawbacks from the general partner or givebacks by limited partners. TH has, and may in the future, in its sole discretion, negotiate to charge a lesser fee to certain investors. Additional Fees and Expenses In addition to the Management Fee paid to TH, investors also incur other fees. These additional fees include, but are not limited to, organizational expenses, including expenses relating to travel (including non-commercial aircraft and ground transportation), meals, entertainment and accommodations, printing, legal, any depositary, capital raising, accounting, tax, consulting, regulatory compliance, any administrative or other filings, other organizational expenses, and any of the foregoing expenses incurred by any placement agent for the Fund. The general partner will directly bear the cost of organizational expenses in excess of a disclosed expense cap and placement fees payable to any placement agent in connection with the formation of the Fund in accordance with the relevant Governing Documents. The Governing Documents include details of Fund expenses, including how they are allocated. |

Item 7. Types of Clients TH provides investment advisory services to its Funds. The Adviser limits investors in the Funds to persons who are “accredited investors” as defined in the Investment Advisers Act of 1940 and “qualified purchasers” as defined under the Investment Company Act of 1940. The Fund’s minimum investment amount will be disclosed in the Governing Documents. Fund Investors in the Adviser’s Funds include, among others, individuals, trusts, and institutional investors. |
