Item 5. Fees and Compensation The fees and compensation applicable to each of the Funds are set forth in detail in the corresponding Governing Documents. A brief summary of such fees is provided below. In consideration of Trinity Ventures’ investment advisory and other services, Trinity Ventures typically receives a management fee from certain of the Funds, which is generally equal to a percentage of the total capital commitments to such Fund. The fee percentage and/or the base upon which the fee is calculated may vary with the size of the Fund and may also vary over the life of the Fund, as negotiated and determined at the time the Fund is established and as set forth in its Governing Documents. The percentage of the management fee generally starts at 1.0-2.5% annually and is then reduced upon occurrence of certain events that are fully described in the Governing Documents of each Fund (“Adjustment Date”). After the Adjustment Date, the management fee generally accrues at a lower rate as describe in the Governing Documents. Management fees billed to and received from the Funds are payable quarterly in advance. In the event of early termination of an Advisory Agreement, management fees that have been prepaid are returned on a prorated basis. In addition, affiliates of Trinity Ventures, as the General Partners of the Funds, typically receive certain allocations and distributions calculated and charged based on a share of capital gains on or capital appreciation of the assets of the applicable Funds, as negotiated and determined at the time such Funds are established and as set forth in their Governing Documents. These allocations and distributions are commonly known as “carried interest.” Trinity Ventures’ affiliates may receive carried interest before all investors have received aggregate distributions equal to the sum of their capital contributions to a Fund, but the value of a Fund’s assets must satisfy a minimum threshold, as calculated in the Governing Documents, and any such distributions of carried interest are subject to clawback as described in the Governing Documents. Management fees and carried interest generally are not negotiable. However, Trinity Ventures (or an affiliate) has discretion to reduce or waive management fees and/or carried interest. Trinity Ventures affiliates may pay reduced or no management fee or carried interest on their investments. Management fees are typically funded with capital contributions drawn for such purpose but may also be funded with or withheld from proceeds from investments. Carried interest generally will be distributed to Trinity Ventures’ affiliates from time to time upon the disposition of investments by a Fund and are distributed to such affiliates in accordance with the terms of the applicable Governing Document. Trinity Ventures and its affiliates generally pay all of their own operating and overhead costs and expenses, including salaries, wages, travel, entertainment and other expenses of the Adviser and its employees, rental space used by the Adviser and its employees, bookkeeping services and equipment, fees and expenses of independent consultants (including recruiters) and investment advisors, liability and other general insurance premiums, and expenses incurred in investigating and evaluating investment opportunities and in managing investments of the Funds. In addition to any management fees payable to Trinity Ventures, a Fund will incur certain charges imposed by third parties and other expenses. Such expenses may include (but are not limited to): all organizational costs and expenses incurred in connection with the formation and organization of the Fund and its General Partner (up to a cap as set forth in the Governing Agreements of each Fund); all costs and expenses incurred in the purchase, holding, sale or exchange of securities, including, but not by way of limitation, private placement fees and finder’s fees, real property or personal property taxes on investments, brokerage fees, taxes applicable to the Fund on account of its operations, fees incurred in connection with the maintenance of bank or custodian accounts, premiums for insurance protecting the Fund and its General Partner from liability to third parties with respect to the service of any member of the General Partner as an officer or director of any portfolio company of the Fund, and legal fees and expenses incurred in the purchase or sale or exchange of securities. A Fund will also bear all other legal, accounting and auditing fees and expenses, including the fees of the certified public accountants incurred in connection with the annual audit of the Fund’s reports and the preparation of the Fund’s annual tax returns and all expenses which are not normal operating expenses, including all legal fees and expenses incurred in prosecuting or defending administrative or legal proceedings brought by or against the Fund, including all costs and expenses arising out of or resulting from the Fund’s indemnification obligations. A Fund will also bear all fees and expenses of its liquidation and its dissolution, or of termination, or of distributions to its partners. Item 7. Types of Clients Currently, Trinity Ventures provides investment advisory services with respect to the Funds, which are privately offered pooled investment vehicles and co-investment vehicles. These vehicles are generally open to, among others, institutions, family offices, high net worth individuals, financially sophisticated individuals, and other sophisticated investors. Such investors are required to meet applicable eligibility requirements as provided in the relevant Governing Documents. Trinity Ventures does not currently have a minimum size for a Fund. |
