Item 5:          Fees and Compensation

Pursuant to each individual Client’s regulatory hosting agreement (“Regulatory Hosting Agreement”), V&P will
receive a monthly fixed fee (the “Regulatory Hosting Fee”) as consideration for its services which is not related to its
Client’s assets under management. These fees are paid to the Firm monthly or quarterly, in accordance with the
Client’s regulatory hosting agreement.
V&P and its employees do not accept compensation, including sales charges or service fees, from any person for the
sale of securities or other investment products. Neither does V&P participate in wrap fee programs or undertake
any brokerage services, and as a result does not charge brokerage fees.

Item 7:          Types of Clients

The Firm exclusively provides and intends to provide advisory or sub-advisory services to its Clients as described in
Item 4 above. The underlying investors are “accredited investors” as defined under Rule 501(a) of Regulation D
under the Securities Act of 1933, as amended, and/or “qualified purchasers” as defined under Section 2(a)(51) of
the investment Company Act of 1940, as amended and the regulations thereunder. If a Client or potential Client
would like to open a Managed Account, the conditions for starting and maintaining a Managed Account will vary
with the circumstances of each Managed Account.
