Item 5. Fees and Compensation The Firm’s fees and compensation are described in each client’s Governing Documents. All of the Firm’s clients are expected to be “qualified purchasers” (as defined in Section 2(a)(51) of the Investment Company Act of 1940, as amended). The Fund pays the Firm a monthly management fee. The Firm may deduct such management fees from the Fund monthly in advance. The Yieldpoint GP may elect to reduce, otherwise modify or waive the management fee with respect to any investor and has done so for the Managing Member and the Firm’s employees. The Yieldpoint GP is entitled to receive performance-based allocations from the Fund, as further described in Item 6 – Performance-Based Fees and Side-By-Side Management. Expenses The Fund will pay or reimburse the Yieldpoint GP, the Firm and/or their affiliates for: (i) all expenses incurred in connection with the ongoing offer and sale of interests in the Fund, including, but not limited to, printing of the memorandum and exhibits, marketing expenses and documentation of performance and the admission of investors, (ii) all operating expenses of the Fund, such as tax preparation fees, governmental fees and taxes, fees to the administrator, costs of communications with investors, and ongoing legal, accounting, auditing, bookkeeping, consulting and other professional fees and expenses, Yieldpoint, L.P. Form ADV Part 2A (iii) all Fund research, trading and investment-related costs and expenses (e.g., futures commission merchant charges, brokerage commissions, margin interest, expenses related to short sales, custodial fees and clearing and settlement charges, as applicable), (iv) all travel expenses related to meeting with management teams, research analysts and/or consultants and/or attending any conference or seminar related to alternative investments (e.g., registration, transportation, accommodation and/or meal expenses), (v) to the extent applicable, external data services and software expenses included in identifying and monitoring investment opportunities, (vi) to the extent applicable, all ongoing costs and expenses related to the Firm’s computer trading system, including, but not limited to, programming, updates, edits and server maintenance, as well as software licenses (if any), data feeds and co-location expenses, (vii) any costs and expenses incurred by the Fund in connection with converting it from a stand- alone fund into a “feeder fund” that is part of a “master-feeder” fund structure, (viii) director and officer liability insurance or other insurance premiums for any principal or employee of the Fund, the Yieldpoint GP, the Firm or any affiliate thereof, (ix) all fees and other expenses incurred in connection with the investigation, prosecution or defense of any claims, assertion of rights or pursuit of remedies, by or against the Fund, including, without limitation, professional and other advisory and consulting expenses and travel expenses, (x) to the extent applicable, third party compliance costs and expenses, including, but not limited to, all fees and expenses incurred by the Firm and/or its affiliates directly in connection with examinations by the Securities and Exchange Commission, the Commodities Futures Trading Commission and the National Futures Association that are attributable to the Fund, as well as fees and expenses associated with the completion of regulatory filings that are attributable to the Fund (including, without limitation, Form PF filings), and (xi) any and all costs and expenses incurred in connection with the dissolution, winding-up, or termination of the Fund. Each of the Yieldpoint GP, the Firm or any of their affiliates, in its sole discretion, may from time to time pay for any of the foregoing Fund expenses. Any such person may elect to be reimbursed for such expenses, or to waive its right to reimbursement for any such expenses, as well as terminate any such voluntary payment or waiver of reimbursement. The Yieldpoint GP and the Firm will pay for their own general operating and overhead expenses associated with providing the management and investment management services required under the Fund’s Governing Documents. These expenses include all expenses incurred by the Yieldpoint GP and the Firm in providing for their normal operating overhead, including, but not limited to, the cost of providing relevant support and administrative services (e.g., employee compensation and benefits, rent, office equipment, computer systems, utilities, telephone, secretarial and bookkeeping services, etc.), but not including any Fund operating expenses described above. The Fund will pay or reimburse the Yieldpoint GP, the Firm and/or their affiliates for all organizational and initial offering expenses of the Fund, including, but not limited to, legal and accounting fees, printing and mailing expenses and government filing fees (including “blue sky” filing fees). Certain investors in the Fund will also be subject to withdrawal fees if withdrawals are made prior to the satisfaction of agreed-upon holding periods. The Firm may also allocate a portion of certain clients’ capital to money market funds or exchange-traded funds. In addition to the fees and expenses discussed above, clients will indirectly incur similar fees and expenses if the Firm invests their capital in such funds, as these funds in turn pay similar fees and expenses to their investment managers and other service providers. Types of Clients Investors in the Fund are generally high net worth individuals and institutional investors that qualify as “accredited investors” (as defined in Rule 501 under the Securities Act of 1933, as amended) and qualified purchasers. The minimum initial investment in the Fund has been determined by the Firm and set forth in the Funds’ Governing Documents. The Firm has waived such minimum and may, in its discretion, do so in the future under certain circumstances. |
