Item 5. Fees and Compensation Zacks Wealth Partners offers various advisory fee structures to clients. Zacks Wealth Partners offers a tiered fee structure based on assets under management which will differ dependent on the securities in which the client is invested. The following annual Assets Under Management Fees, which are deducted quarterly in the client’s account at the end of each calendar quarter. Clients with assets consisting of equity strategies 0.99% for assets $0 to $500,000 0.90% for assets $500,000 to $1,000,000 0.80% for assets $1,000,000 to $2,000,000 0.70% for assets $2,000,000 to $5,000,000 0.60% for assets over $5,000,000 Clients with assets consisting of individual fixed-income securities such as treasury, corporate and municipal bonds 0.65% if assets under management are between $500,000 and $2,000,000 0.50% if assets under management are between $2,000,000 and $4,000,000 0.40% if assets under management are between $4,000,000 and $6,000,000 0.25% if assets under management are greater than $6,000,000 Clients with assets consisting of ETF (exchange-traded funds) strategies 0.70% for assets $0 to $100,000 0.50% for assets $100,000 to $250,000 0.35% for assets over $250,000 Fees in the Zacks Wealth Partners Program may be negotiable and clients may pay lower fees than those listed above. Zacks Wealth Partners offers a second fee structure to clients. Independent Contractors of Zacks Intelligence are free to negotiate fee rates. Fees will vary from client to client for similar or identical services, but the annual Asset Under Management Fees range from 0.00% to 1.80%, which are deducted quarterly in the client’s account at the end of each calendar quarter. To the extent that clients’ accounts are invested in mutual funds or ETFs, these funds charge a separate layer of management, trading, and administrative expenses. Investors in mutual funds or ETFs (sub) advised by Zacks Investment Management should refer to the applicable fund’s prospectus for a description of the fees and expenses of the fund. Please refer to the Client Referrals and Other Compensation Agreement section below for additional disclosures regarding mutual funds and ETFs. Zacks Insight charges its users (each a “User” and collectively “Users”) a monthly, semiannual, or annual fee based on the Tier selected by the User. The Basic Tier is offered free of charge. The Pro Tier is billed at $34.99 a month, $174.99 semiannually, or $349.99 annually, and the Premium Tier is billed at $99.99 a month, $499.99 semiannually, or $999.99 annually. Although these fees are not negotiable, Zacks Insight reserves the right to adjust the pricing of the tiers, and fees for some Users may be lower than the above rates depending on a variety of factors, including promotional rates that might be offered from time to time. Additionally, as further discussed below, Zacks Insight may receive compensation from third-parties (as discussed in Item 14) for promoting their products and services, and Zacks Insight may receive direct or indirect compensation from its affiliates (as discussed in Item 10 and Item 14) for recommending their products and services to Users. Users may incur certain fees or charges imposed by third-parties or affiliates of Zacks Insight if a User decides to purchase their products or retain their services. Item 7. Types of Clients and Minimum Requirements
Zacks Intelligence expects to primarily provide investment advisory services to individuals and high net worth individuals. To
open an account in the Zacks Wealth Partners Program, a client must place equity assets with a value of at least $500,000. However,
the Adviser may accept clients with smaller accounts.
There is no minimum level of wealth to use Zacks Insight’s platform. Fees paid by clients will depend on the level of Tier selected
by such client as discussed above in Item 5.
Item 8. Method of Analysis, Investment Strategies and Risk of Loss
Zacks Intelligence has a sub advisory agreement with Zacks Investment Management to manage some client accounts within the
Zacks Wealth Partners Program. ZIM typically manages its investment strategies through the application of a hybrid research
process, which uses both quantitative and qualitative criteria. ZIM uses proprietary models to quantitatively assess the
attractiveness of a large universe of stocks based primarily on an analysis of changing patterns of multiple fundamental factors.
Zacks Wealth Partners clients who are managed by ZIM will receive a copy of ZIM’s ADV detailing all investment strategies.
For client accounts not managed by ZIM, Zacks Intelligence may use both quantitative and qualitative criteria to assess the
attractiveness of stocks, exchange traded funds (“ETFs”), and mutual funds for its clients.
Zacks Insight provides tailored investment advice, the level of which will depend on the User’s Tier, investment guidance and
financial and market related information. Users of the Service will complete an investment profile and the Service will utilize the
User’s investment profile to create investment recommendations. Such investment recommendations for Pro and Basic Users will
not be on-going and will change only based on changes to the User’s investment profile. Users of the Service at the Premium Tier
will complete an investment questionnaire utilized by certain investment tools to create a monthly report providing detailed and
on-going personalized portfolio guidance.
The risks described herein are not intended to be exhaustive. Other risks, including those not currently known or considered
significant, may also affect Clients and Users and their investments. Users, specifically, are encouraged to conduct their own
research, consider their individual financial circumstances, and consult with their professional advisors to fully understand all
potential risks associated with their investment decisions.
Non-Tailored Advice Risk. Users at the Pro and Basic Tiers will receive differing levels of individualized advice from those at
the Premium Tier. For Users at all tiers such individualized advice may not be tailored to an individual’s financial goals, needs,
or personal circumstances, particularly at the Pro and Basic Tiers. Such advice that is not tailored to the User presents the following
risks:
o Mismatched Risk Tolerance: Advice may involve more or less risk than a User is comfortable assuming. This could lead
to emotional responses to market changes, such as selling at inopportune times.
o Inappropriate Time Horizons: Advice may not align with a User’s short- or long-term financial planning objectives,
potentially resulting in liquidity challenges and/or suboptimal returns.
o Lack of Financial Planning Consideration: Advice does not consider tax strategies, estate planning, or other financial
goals specific to Users. Users with complex needs may experience unintended financial consequences.
o No Active Monitoring of Personal Circumstances: Neither the personnel at Zacks Intelligence nor the artificial intelligence
continuously monitor a User’s personal financial condition nor do they make adjustments in response to changing needs
unless a user inputs new information. Users are encouraged to independently review their portfolio on a regular basis.
o Simplistic Assumptions: Zacks Insight’s advice may be based on general assumptions that may oversimplify complex
financial situations, leading to incomplete or inappropriate recommendations.
o Inadequate Diversification: Zacks Insight’s recommendations do not provide for adequate diversification across all asset
classes, which could increase portfolio risk.
USERS SHOULD CONSIDER WHETHER THE ADVICE PROVIDED ALIGNS WITH THEIR FINANCIAL
SITUATION AND MAY WISH TO SUPPLEMENT ZACKS INSIGHT’S RECOMMENDATIONS WITH ADVICE
FROM FINANCIAL, LEGAL, AND/OR TAX PROFESSIONALS.
AI-Generated Advice Risk. Zacks Insight’s Service is provided using artificial intelligence and large language models (“AI”),
which presents the following risks:
o Lack of Human Oversight: While Zacks Intelligence monitors and updates its AI models periodically, individual
recommendations are provided automatically without direct human review. This may result in advice that is inaccurate.
o Hallucination Risk: AI has the potential to generate incorrect or misleading outputs, often referred to as “AI
hallucinations.” AI hallucinations occur when AI models produce results that do not accurately reflect real-world data or
circumstances, leading to potentially flawed responses. Specifically, AI may generate responses that seem plausible but
are factually incorrect, incomplete, or unrelated to the original query, potentially leading to misunderstandings or
misinformed decisions by Users. And when faced with unfamiliar or complex questions, AI may provide hallucinated
answers that are speculative or irrelevant, rather than accurately addressing the inquiry.
o Data Limitations: AI relies on historical data, which cannot accurately predict future events. AI also relies on external
market data, which could be subject to delays, inaccuracies, or interruptions.
