Item 5 Fees and Compensation Investment Advisory Service Fees Pursuant to an investment advisory contract signed by each client, the client will pay Acacia Grove an annual management fee, payable quarterly in arrears, based on the average daily balance of the account. New account fees will be prorated from the inception of the account to the end of the first quarter. Assets Under Management: Annual Fee: First $500,000 1.25 % Next $500,000 0.85 % Next $1 million 0.75 % Next $1 million 0.65 % Next $1 million 0.55% Over $4 million 0.45% Fees will be calculated on a blended tier schedule. For example, a $3,500,000 account fee would be calculated quarterly as follows: ($500,000 x 1.25%) + ($500,000 x 0.85%) + ($1 million x 0.75%) + ($1 million x 0.65%) + ($500,000 x 0.55%) = ($6,250 + $4,250 + $7,500 + $6,500 + $2,750) = $27,250 / 4 quarters = $6,812.50. These fees may be negotiated at the sole discretion of the Advisor. Asset management fees will be directly deducted from the client account on a quarterly basis by the qualified custodian. The client will give written authorization permitting the Advisor to be paid directly from their account held by the custodian. The custodian will send a statement at least quarterly to the client. Financial Planning and Investment Consulting Services Hourly Fee Some clients will contract to have project based financial planning or investment consulting services provided based on an hourly fee. The Advisor’s hourly fee will be billed at a rate of $300 per hour and will be negotiated and agreed upon by the parties in advance. Hourly fee-based clients are billed one half of the fee at the time of signing the agreement with the Advisor and the other one half upon delivery of the financial plan or written report to the client. If the final fee is not paid by the client at the delivery of the Acacia Grove Wealth Management Page 6 financial plan or written report, the client is required to pay the fee within five days of delivery of the financial plan or written report. The fee will be based upon the anticipated number of hours it will take to complete the financial plan or investment consulting services project. If the client terminates the agreement with the Advisor prior to the Advisor's completion of the financial plan or project, any fees due the Advisor will be invoiced to the client and payable within five days of delivery of the invoice. Acacia Grove’s investment advisory service fee will include all costs charged by the executing broker-dealer and they will be paid by the Advisor. This method is typically characterized as a “wrap fee,” where the management fee includes the investment advisory services as well as all transaction costs and the client pays only that management fee and no other costs concerning the trading of the account. Generally, clients in wrap fee accounts, with the transaction and custody costs included, will pay a slightly higher management fee than in non-wrap accounts, where those costs are not included in the fee. However, clients in a non-wrap account will pay the management fee solely for advisory services and will also directly pay any transaction costs assessed by the executing broker-dealer, such as commissions and transaction fees. All investment advisory service clients will be placed in a wrap fee account. However, Acacia Grove does not increase its fees to account for its payment of transaction related costs on behalf of the client. The specific arrangement for each client will be negotiated and defined in the investment advisory contract signed by each client, and no advisory fee will exceed the maximum management fees noted above. Acacia Grove’s wrap fee program includes investment advisory services and the brokerage services provided by Altruist Corp. (“Altruist”), a broker-dealer registered with the U.S. Securities and Exchange Commission and a member of FINRA and SIPC. Acacia Grove is independently owned and operated and not affiliated with Altruist. Altruist will act solely as a broker-dealer and not as an investment advisor to Acacia Grove’s clients. In addition to compensating Acacia Grove for advisory services, the wrap fee that clients pay allows Acacia Grove to pay for brokerage and execution services provided by Altruist. Acacia Grove does not charge clients a higher advisory fee based on account trading activity and may pay Altruist transaction costs for certain executed securities transactions in wrap fee accounts. As a result, Acacia Grove may have a financial incentive to limit orders for wrap fee accounts because some transactions will increase the Advisor’s transaction costs. Thus, an incentive exists to trade less frequently in a wrap fee program. Acacia Grove Wealth Management Page 7 When managing a client’s account on a wrap fee basis, Acacia Grove receives as compensation for its investment advisory services the balance of the total wrap program fee the client pays after any custodial, trading, and other management costs (including execution and transaction fees) have been deducted. Accordingly, Acacia Grove may have a conflict of interest because it has a financial incentive to maximize its compensation by seeking to reduce or minimize the total costs incurred in client accounts subject to the wrap fee. Acacia Grove’s wrap fee does not cover all fees and costs. All fees paid to Acacia Grove for investment advisory services are separate and distinct from the expenses charged by mutual funds to their shareholders. These fees and expenses are described in each fund’s prospectus. The Advisor’s cumulative minimum account requirement for opening and maintaining an account is $1,500,000.
