Item 5: Fees and Compensation In consideration of the Adviser’s investment advisory and other services, the Adviser typically receives a management fee from each of the Funds, which is generally equal to a percentage of the total capital commitments to such Fund. The fee percentage and/or the base upon which the fee is calculated may vary with the size of the Fund and may also vary over the life of the Fund, as negotiated and determined at the time the Fund is established and as set forth in its Governing Documents. Fees include a fixed management fee, typically between 0.75% and 1.75% per annum (usually charged monthly, payable in arrears), of the value of each investor’s capital account in a Fund (the “Management Fee”). The Management Fee will be paid monthly in arrears based on the value of each Fund investor’s capital account as of the last business day of each calendar month. The Management Fee will be adjusted for contributions, distributions and withdrawals made during the month, if any. Management Fees at lower rates than those stated above have been granted to certain “founding” Clients and may similarly be offered to such Clients in the future. In addition, affiliates of the Adviser, as general partners of the Funds, typically receive certain allocations calculated and charged based on a share of capital gains on or capital appreciation of the assets of such Fund, as negotiated and determined at the time such Fund is established and as set forth in its Governing Documents. These allocations and distributions are commonly known as “Incentive Allocations” This compensation may be paid to the Adviser or to a related person of the Adviser and ranges from 10% to 20%. The Adviser’s affiliates generally do not receive incentive allocations until all investors have received a rate of return equal to the applicable “hurdle rate” specified in the respective Funds’ Governing Documents. In addition to paying Management Fees and, if applicable, Incentive Allocations, Client accounts will also be subject to other investment expenses in accordance with the Client’s investment management agreement or fund governing documents such as all investment- related costs and expenses (i.e., expenses that, in the Adviser’s sole discretion, or in the sole discretion of an affiliate of the Adviser serving as a general partner or a managing member of a Fund are related to the investment of a Client’s assets, whether or not such investments are consummated), including commissions and charges, clearing and settlement charges, option premiums and custodial and service fees, servicing fees, research-related expenses (including research-related travel expenses with respect to conferences or otherwise), fees and expenses relating to consultants, and expenses relating to attorneys, brokers or other professionals or advisors who provide research, advice or due diligence services with regard to investments; fees and expenses related to portfolio exposure and performance management systems, risk management services and software related to trade reconciliation, treasury, margin, financial and counterparty management, risk monitoring, performance reporting, valuation quotation services (e.g., Bloomberg terminals, historical and live financial data and other similar services and data feeds) and trade order management systems (including systems that facilitate trade compliance, commission management, stock locates and transaction cost analysis, and third party service providers used for implementation, custom reporting, updates, consultations, support, maintenance, monitoring and data extracts); a Client’s legal, accounting, tax preparation and other tax-related expenses (including preparation and mailing costs of financial statements, tax returns and other reports to investors), auditing, consulting and other professional expenses, including any fees paid to third party valuation agents; third-party administration costs, fees and expenses (including any costs, fees and expenses related to investor communications, relations, reporting or other investor materials, tax preparation and related reporting, performance information, data extraction and other types of reporting and any audit or accounting services provided by a third-party administrator); all fees and charges of custodians, clearing agencies and banks; compliance and reporting expenses and expenses attributable to regulatory filings that are made with respect to a Client or assets of a Client (including Section 13 and Section 16 of the Securities Exchange of 1934 reporting, Form D, Form PF, Foreign Account Tax Compliance Act reporting, anti-money laundering compliance, state security filings, general regulatory compliance and non-U.S. position reporting filings, if applicable, and non-U.S. filings, if any); a Client’s pro rata share of Client-related insurance costs (including the Client’s pro rata portion of director’s and officer’s insurance, errors and omissions insurance, fidelity insurance and other similar policies covering the Adviser and/or an affiliate of the Adviser serving as a general partner or a managing member of a Fund); any taxes (including but not limited to any withholding taxes, transfer taxes, stamp duties and other governmental or self-regulatory agency-related charges or duties); all costs and expenses incurred in attempting to protect and enhance the value of a Client investment (including any fees and expenses associated with any pending or threatened litigation, audit, investigation, administrative or other proceeding, as well as any settlement costs); any fees and expenses related to a Client’s liquidation, if applicable; fees paid to proxy and securities class action advisory firms; expenses relating to the offer and sale of a Client’s interests and withdrawals and transfers thereof; other reasonable expenses related to the purchase, sale, preservation or ... |
