Item 5        Fees and Compensation

                            INVESTMENT SUPERVISORY SERVICES ("ISS")
                            INDIVIDUAL PORTFOLIO MANAGEMENT FEES
The annualized fee for Investment Supervisory Services will be charged as a percentage of assets under
advisory service, according to the following schedule:

                                   1.00% on the first $2,000,000
                    0.75% on amounts greater than $2,000,000 and up to $5,000,000
                               0.50% on any amount over $5,000,000

We will charge a fee based on the total amount of assets that we are managing, and which are considered
as part of an integrated investment plan. Examples include:
Stocks, bonds, mutual funds, exchange-traded funds, variable annuities, treasury bills or certificates,
brokered certificates of deposit (CDs), and cash, whether owned individually, jointly, in trust or within a
qualified retirement plan. We refer to these as "assets under advisory service."

Our fee will not apply to assets over which we have no oversight. Examples include:
Personally owned real estate, personal property and vehicles, and cash and assets held in accounts
outside of our management.

Limited Negotiability of Advisory Fees: Although Baron Financial Group, LLC has established the
aforementioned fee schedule(s), we retain the discretion to negotiate alternative fees on a client-by-
client basis. Client facts, circumstances and needs are considered in determining the fee schedule. These
include the complexity of the client, assets to be placed under management, anticipated future
additional assets; related accounts; portfolio style, account composition, reports, among other factors.

We may group certain related client accounts for the purposes of determining the annualized fee.

Discounts, not generally available to our advisory clients, may be offered to family members and friends
of associated persons of our firm and charitable organizations.

Unmanaged assets or accounts may be held in custody at Charles Schwab under the Baron Financial
Group, LLC master account, and will not incur a fee. As a courtesy to clients, Baron Financial Group, LLC
may aid in the opening of client accounts that hold unmanaged assets. We may have access to view the
accounts, but no trades will be made by us without the client’s direction. Typically, “unmanaged”
securities are assets (stocks, bonds, etc.) that were purchased by the client without the advisement of
Baron Financial Group, LLC.

If a fee change is agreed upon by Baron Financial Group, LLC and the client, a new Investment Advisory
Agreement or an Addendum to the original agreement will be provided by Baron Financial Group, LLC for
the client to sign.

Fees Billed in Advance: Our advisory fees will be charged in advance. Advisory fees are billed in advance
at the beginning of each calendar quarter based upon the asset value of the client's account equity at the
end of the previous quarter.

When authorized by the client, fees will be debited from the account in accordance with the terms set
forth in the Advisory Agreement.

                                       FINANCIAL PLANNING FEES
Stand-alone Financial Planning fees for clients without investment management are agreed upon prior
to entering a contract with any client. Baron Financial Group, LLC's Financial Planning fee is determined
based on the nature of the services being provided and the complexity of each client's circumstances. All
fees are agreed upon prior to entering into a contract with any client.

For clients with investment management, there will be an initial one-time planning fee of $2,500 which
is waived if the initial Assets Under Management is $500,000 or greater.

We may request a retainer upon completion of our initial fact-finding session with the client; however,
advance payment will never exceed $500 for work that will not be completed within six months. The
balance is due upon completion of the plan.

Financial Planning Fee Offset: Baron Financial Group, LLC reserves the discretion to reduce or waive the
hourly fee and/or the minimum fixed fee if a financial planning client chooses to engage us for our
Portfolio Management Services.

All payment schedules are agreed upon prior to entering into a contract with any client.

                                         GENERAL INFORMATION

Termination of the Advisory Relationship: A client agreement may be canceled at any time, by either
party, for any reason upon receipt of 30 days written notice. As disclosed above, certain fees are paid in
advance of services provided. Upon termination of any account, any prepaid, unearned fees will be
promptly refunded. In calculating a client's reimbursement of fees, we will pro rate the reimbursement
according to the number of days remaining in the billing period.

Mutual Fund Fees: All fees paid to Baron Financial Group, LLC for investment advisory services are
separate and distinct from the fees and expenses charged by mutual funds and/or ETFs to their
shareholders. These fees and expenses are described in each fund's prospectus. These fees will generally
include a management fee, other fund expenses, and a possible distribution fee. A client could invest in
a mutual fund directly, without our services. In that case, the client would not receive the services
provided by our firm which are designed, among other things, to assist the client in determining which
mutual fund or funds are most appropriate to each client's financial condition and objectives.
Accordingly, the client should review both the fees charged by the funds and our fees to fully
understand the total amount of fees to be paid by the client and to thereby evaluate the advisory
services being provided.

Additional Fees and Expenses: In addition to our advisory fees, clients are also responsible for the fees
and expenses charged by custodians and imposed by broker dealers, including, but not limited to, any
