Item 5: Fees and Compensation
A. Fee Schedule
Wealth Management Fees

Over $5,000,000 Negotiable
Fees are due quarterly in advance. There is an account minimum fee of $625 per quarter,
which may be waived by the investment advisor, based on the needs of the client and the

complexity of the situation. Fees are negotiable. The maximum annual fee will not exceed
2%. This fee schedule is based on Wealth Management Services only.
These fees are negotiable depending upon the needs of the client and complexity of the
situation, and the final fee schedule is attached as Exhibit A of the Wealth Advisory
Agreement. Client may cancel this Agreement without fee or penalty by providing written
notice of such cancellation to Advisor within seven (7) business days of the date hereof
(the “Grace Period”). Thereafter, either party may terminate this Agreement without
penalty upon thirty (30) day notice in writing to the other party. Termination of this
Agreement will not affect (a) the validity of any action previously taken by Advisor under
this Agreement; (b) liabilities or obligations of the parties from transactions initiated
before termination of this Agreement; or (c) Client’s obligation to pay advisory fees
(prorated through the date of termination). On the termination of this Agreement, Advisor
will have no obligation to recommend or take any action regarding the securities, cash, or
other investments in the Account.
Refunds are given on a prorated basis, based on the number of days remaining in a quarter
at the point of termination. The fee refunded will be the balance of the fees collected based
on the valuation date on the close of the last business of the prior quarter, minus the daily
rate* times the number of days in the quarter up to and including the day of termination.
(*The daily rate is calculated by dividing the quarterly AUM fee by the number of days in
the termination quarter).
Provided the client has provided written authorization, our advisory fees will be
withdrawn directly from the client's designated account(s) held by the relevant custodian.
Advisory fees may also be invoiced and billed directly to the client, which is due upon the
client's receipt of the invoice. Clients may select the method in which they are billed.
Financial Planning Fees
Depending upon the complexity of the situation and the needs of the client, the hourly fee
for these services is $300. For continuing financial planning services, we charge a
maximum monthly fee of $300.
The fees are negotiable, and the final fee schedule will be attached to the Financial
Planning Agreement. Clients may terminate their BWC Financial Planning contracts
without fee or penalty within five (5) business days of signing the contract. Thereafter, the
agreement may be terminated by either party upon written notice to the other party. For
hourly fee agreements, the fee will be prorated based on the amount of work completed
up to and including the day of termination. For monthly fee agreements, the fee will be
prorated based on the number of days in the month up to and including the date of
termination. Note: The Financial Planning Agreement will automatically terminate 90
days after the delivery of the financial plan or items agreed upon in Section II of the
Financial Planning Agreement. BWC’s monitoring ceases at the time the contract
terminates.

Retirement Plan Fees
Fees are based upon a percentage of the value of the plan assets and are negotiable based
upon the facts and circumstances of the plan’s needs and circumstances, as well as the
complexity of the requested services. Fees and payment arrangements are negotiable and
will be clearly set forth in the Advisory Agreement between BWC and the plan sponsor.
Fees are paid quarterly in advance based on the valuation date on the close of the last

authorization. Advisory fees may also be invoiced and billed directly to the client upon
receipt of the bill. Clients may select the method in which they are billed.
IRA Rollover Considerations
As a normal extension of financial advice, we provide education or recommendations
related to the rollover of an employer-sponsored retirement plan. A plan participant
leaving employment has several options. Each choice offers advantages and
disadvantages, depending on desired investment options and services, fees and expenses,
withdrawal options, required minimum distributions, tax treatment, and the investor's
unique financial needs and retirement plans. The complexity of these choices may lead an
investor to seek assistance from us.
An Associated Person who recommends an investor roll over plan assets into an
Individual Retirement Account (“IRA”) may earn an asset-based fee as a result of the
