ITEM 5 - FEES AND COMPENSATION
General Fee Information
Client fees are, generally, determined by the amount of billable assets under management
(see the standard tiered schedule below). Some legacy clients pay a fixed fee. Fees are paid
quarterly, in advance. Clients have the option of paying by check or direct deduction of fees
from their accounts. Fees are based on the complexity of a client’s account including their
financial planning, liquidity needs, tax and estate complexities, as well as by estimated time
and resources. Beatrice reviews, with each client prior to the execution of an Investment
Management Agreement, the fees and services to be rendered to ensure clients
understand the full scope of services provided.

The minimum annual fee is $50,000.
Beatrice, in its sole discretion, can and does negotiate its fees where special circumstances
exist, as each client’s circumstances may vary. Departure from standing fee schedules is
determined on a case-by-case basis pursuant to each client’s circumstance , and is not
automatic. Beatrice reserves the right to negotiate its fees with clients, and can and does
charge higher or lower fees than those described herein. Clients with an inception date on
or before December 31, 2025, have grandfathered fee schedules lower than the fee
schedule shown above.
Either Beatrice or the client may terminate their Investment Management Agreement at any
time, subject to any written notice requirements in their agreement. In the event of
termination, any paid but unearned fees are promptly refunded to the client based on the
number of days that the account was managed. Any fees due to Beatrice from the client
shall be invoiced or deducted from the client’s account prior to termination.
Financial Planning
Financial planning services, if chosen as the sole service by the client, are charged to clients
in a flat fee arrangement, based on the complexity of the client’s financial situation. All fees
are agreed to prior to any advice and fees are documented in a financial planning
agreement between Beatrice and the client.
Third-Party Money Management Fees
In addition to advisory fees paid to Beatrice, if another Manager is selected, the client is
responsible for paying those fees and the client should have a separate agreement defining
those terms and the method of payment. If the client is invested in a private fund, there are
other fees in addition to the advisory fees that the investor will be responsible for and they
need to read the applicable fund documents to understand those expenses. Fees include
management fees, performance fees, brokerage fees, trading fees and commissions.
Beatrice, where requested, will assist clients with those agreements and in understanding
those expenses.
Other Fees and Compensation
Clients will pay other fees, such as brokerage fees, custodial fees, ACH and money
movement fees, trading fees such as commissions, management fees and performance
fees to third-party managers. Private fund advisors charge fees such as early redemption
fees, fund administration fees, performance fees, management fees, and other complex
fees. In the due diligence process, Beatrice’s team endeavors to understand these fees and

asses the fairness to Beatrice clients. Beatrice does not receive any of these fees nor does
Beatrice have the ability to negotiate these fees on behalf of its clients.
Beatrice does not receive a management fee in relation to its role as the manager of the
private fund TGL Sports Fund Coinvest SPV. One Beatrice client is invested in the TGL
Sports Fund Coinvest SPV. |
