ITEM 5: FEES AND COMPENSATION

BPC enters into a written investment Advisory Agreement with each Advisory Client which outlines all fee
arrangements.

BPC typically charges an asset-based advisory fee on the Advisory Client’s assets under management.
Where permitted by applicable law, Advisory Clients are given the choice to be charged (i) a management
fee only or (ii) a management fee and an incentive fee (the “Advisory Fees”). In general, the annual
management fee will be up to 1.00% per annum on time-weighted assets under management, computed
daily and paid quarterly. The incentive fee will typically be up to 15%, applied on the profits that exceed a
SOFR hurdle. Incentive fees are calculated and paid annually.

Advisory Clients may be charged fees, expenses, or commissions in addition to the advisory fee paid to
BPC. These may include placement, trading/brokerage, management and performance fees paid to third
parties in connection with an investment opportunity, as well as general and legal expenses or
reimbursement for investment due diligence.

BPC reserves the right to negotiate Advisory Fees for accounts depending on the size and type of account,
the investments in the account and the services required. Therefore, some Advisory Clients may pay
different Advisory Fees from those shown above.

ITEM 7: TYPES OF CLIENTS

BPC provides non-discretionary investment advice to family offices and their affiliated offices. The Firm
may also, in the future, advise other institutional accounts including investment managers and private funds.
BPC does not maintain a formal account minimum. However, it is BPC’s intention to typically engage
institutional-scale relationships that require customized sourcing, diligence, structuring and ongoing
oversite.
