Item 5 – Fees and Compensation
A. Each Fund pays management fees to the Adviser as compensation for its services. These
management fees are determined by the size of the Fund’s assets. The management fee ranges
between 1% and 2% per annum (or such other percentage specified in the offering documents of
the applicable Fund) of the aggregate capital commitments of the limited partners in the Fund. The
Adviser and General Partner are authorized to charge lower management fees to one or more
limited partners in a Fund, based on the timing of the limited partner’s capital commitment to the
Fund, the amount of the limited partner’s capital commitment to the Fund, or other factors described
in the offering documents of the applicable Fund.
The General Partner of each Fund is entitled to receive performance-based compensation
(commonly referred to as “carried interest”). Specifically, distributions by the Fund will be
distributed to the limited partners until the limited partners have recovered all capital contributions
plus a preferred return. Thereafter, the General Partner is entitled to performance based
compensation whereby distributions are made 100% to the General Partner until the General
Partner has received 20% (or such other percentage specified in the offering documents of the
applicable Fund) carried interest, and after such time distributions will be made 80% to the limited
partners and 20% to the General Partner (or such other percentage split as is set forth in the offering
documents of the applicable Fund). The General Partner is authorized to reduce the percentage
of carried interest borne by one or more limited partners in a Fund, based on the timing of the
limited partner’s capital commitment to the Fund, the amount of the limited partner’s capital
commitment to the Fund, or other factors described in the offering documents of the applicable
Fund.
The Adviser will comply with Rule 205-3 of the Investment Advisers Act of 1940 with respect to
performance-based compensation. Performance-based compensation will be charged only to
limited partners of a Fund who qualify as a “qualified client” (as defined in Rule 205-3) and have
furnished certain information to the applicable Fund in order to ascertain such status.
B. The Adviser bills each Fund for management fees on a quarterly basis. The management fee with
respect to a particular Fund will begin accruing on the initial closing date of the applicable Fund.
Management fees will be payable quarterly, in advance and pro-rated on a daily basis for short
fiscal periods. The first payment of the management fee with respect to a particular Fund will be
made at the earliest date upon which the Fund has received sufficient capital contributions to fund
such payment.
C. In addition to the asset management and performance-based fees described above, each Fund
bears or will bear certain costs and expenses which generally will include:
(i) any sales taxes or other taxes, fees, penalties or government charges of any kind which
may be assessed against the Fund and all expenses incurred in connection with any tax
audit, investigation, settlement or review of the Fund;
(ii) commissions or brokerage fees or similar charges incurred in connection with the purchase
or sale of assets (including any fees payable to third parties and whether or not any such
purchase or sale is consummated);
(iii) interest on and fees and expenses arising out of all permitted borrowings made by the
Fund;
(iv) all costs and expenses (including legal fees, judgments and amounts paid in defense and
settlement) relating to litigation and threatened litigation involving the Fund, including,
without limitation, settlements of claims and indemnification expenses;
(v) expenses incurred in connection with distributions made by the Fund;
(vi) expenses associated with preparation and distribution of the Fund’s audited financial
statements, tax returns and filings and the Fund’s and any qualified custodian’s reports to
investors, and maintenance of books and records for the Fund;
(vii) expenses incurred in connection with the purchase, holding, sale or proposed sale of any
investment or any temporary investments (whether or not any such purchase or sale is
consummated), including, without limitation, due diligence; the engagement of consultants,
advisors or other specialized service providers; travel expenses related to the analysis,
purchase or sale of investments (including expenses and costs related to unconsummated
co-investments and co-investment vehicles that would have been allocable to co-investors
had such proposed transaction or investment been consummated); costs and expenses
for software, subscription services, periodicals, information services and other databases
for such purposes; and other expenses related to the investment financing, monitoring,
enhancement, disposition or reporting of Fund assets (including, for the avoidance of
doubt, expenses associated with investor portals);
(viii) fees, costs and expenses incurred in the organization, operation, administration,
restructuring or termination, liquidation, winding up and dissolution of any entities through
which the Fund makes investments;
(ix) all fees and expenses attributable to normal and extraordinary investment banking,
commercial banking, accounting, third-party administration (including, for the avoidance of

Item 7 – Types of Clients As described above, the Adviser advises only private funds. The underlying limited partners of the Funds, while not considered clients of Adviser under the Investment Advisers Act of 1940, must reasonably demonstrate that they are “accredited investors” within the meaning of Regulation D of the Securities Act of 1933, as amended, and any new limited partners admitted to a Fund on or after the effective date of the Adviser’s registration must demonstrate that they are “qualified clients” under Rule 205-3 of the Investment Advisers Act of 1940. The General Partner of a Fund is permitted to impose a minimum investment amount for the Fund. Any such minimum will be specified in the offering documents of the applicable Fund. |
