Item 5: Fees and Compensation

A. Fee Schedule

Asset-Based Fees for Portfolio Management

   Separately Managed Accounts

   BWM uses the following fee schedule for separately managed
   investment accounts, excluding retirement plan assets (e.g., 401K plans)
   and education savings plan assets (e.g., 529 plans) and variable life
   insurance plans.

   This is a “blended tier” structure in which each of the tiers below is
   charged the annual fee percentage aligned with that tier. For example,
   a client with $800,000 in assets would pay 1% on the first $750,000 and
   .75% on assets from $750,001 to $800,000.

              $1,500,001 - $5,000,000               0.50%

              $5,000,001 - $10,000,000              0.35%

              $10,000,001 And Up                    0.25%

   Retirement Plan Assets

   BWM uses the following fee schedule for retirement plan assets (e.g.,
   401K, 403B and 457 plans).

              All Assets                            0.50%

   BWM uses the assets under management on the last day of the billing period (aka “in
   arrears” method) for the purposes of determining the market value of the assets upon
   which your advisory fee is based.

   Minimum Fees

   Our minimum fee is $1500 per year, billed quarterly in arrears.

   Termination

   You may terminate the Agreement between us without penalty within five business
   days of signing our Agreement. Thereafter, you may terminate our Agreement with
   30 days written notice.

Financial Planning Fees

   Fixed Fees

   Broadview Wealth Management, LLC provides financial-plan only services on an
   individual plan basis. The standard fee for a financial plan is $1,500. Full advisory
   services clients receive a financial plan as part of their overall client-advisory contract
   and do not pay separately for the financial plan.

   Clients wishing to purchase stand-alone financial plans will have fees charged in
   arrears upon completion.

   Clients may terminate the Financial Planning agreement without penalty within five
   business days of execution. Thereafter, you may terminate the Financial Planning
   Agreement upon written notice to us.

401K Advisory Fees

   3(21) advisory services to 401K plans.

   For 401K advisory engagements, we charge $1,500 for newly created 401K Plans. We
   will waive this fee for existing plans who engage us as the advisor to the plan take .
   Our minimum fee for these services is $2,500/year ($625/quarter, billed in arrears).

   401K fees are as follows:

   We use the assets under management in the account on the last day of the quarter (aka
   “in arrears” method) for the purposes of determining the market value of the assets
   upon which the advisory fee is based.

   BWM sends you a copy of the fee invoice sent to BWM by the 401K recordkeeper.
   These invoices are sent quarterly so Plan Administrators are aware of the fees coming
   from 401K participant accounts.

   Termination:

   Clients may terminate our Agreement without penalty within five business days of
   signing the 401K Advisory Agreement. Thereafter, you may terminate the 401K
   Agreement with 30 days written notice.

All of our fees are detailed in Exhibit II of the Agreement between us.

Our fees are negotiable and lower fees for comparable services may be available from
other sources.

B. Payment of Fees

Payment of Asset-Based Portfolio Management Fees

Asset-based portfolio management fees billed quarterly in arrears and are withdrawn
directly from your account(s) pursuant to the Agreement between us.

Payment of Financial Planning Fees

Financial planning fees may be paid via check and/or wire.

Fixed financial planning fees are billed in arrears upon completion.

C. Client Responsibility For Third-Party Fees

Clients are responsible for the payment of all third-party fees (i.e. custodian fees,
brokerage fees, mutual fund fees, transaction fees, etc.). Those fees are separate and
distinct from the fees and expenses charged by BWM. Please see Item 12 of this brochure
regarding broker-dealer/custodian information.

D. Prepayment of Fees

BWM collects its fees in arrears. We do not collect fees in advance.

E. Outside Compensation For the Sale of Securities to Clients

Neither BWM nor our supervised persons accept any compensation for the sale of
securities or other investment products, including asset-based sales charges or service fees
from the sale of mutual funds.

Item 7: Types of Clients

BWM provide advisory services to the following types of clients:

          -   Individuals
          -   High-Net-Worth Individuals
          -   Families
          -   High-Net-Worth Families
          -   Small Businesses (generally as part of Individual/Family relationships)
          -   Retirement Plans (eg 401Ks, 403Bs, etc.)

Minimum Account Size

There is no account minimum for any of BWM’s services. However, as noted and detailed in Item
5, our minimum fee is $1,500 per year.
