Item 5 Fees and Compensation
Portfolio Management Services
Our Management Fee: Our advisory fee for portfolio management services is based on a percentage
of the assets in your account and is set forth in the following annual fee schedule (the "Management
Fee"):

The Management Fee is billed and payable quarterly, in arrears, based on the balance in your
account at the end of the billing period (i.e., the calendar quarter). It is important to note that our
firm includes cash and cash equivalents held in client accounts for billing purposes unless specified in
writing.
At our discretion, the foregoing annual fee schedule may be applied to your account on a "blended"
basis or a "straight-line" basis. The particular manner in which our Management Fee schedule will be
applied to your account shall be set forth in our written portfolio management agreement. The
below examples are intended to illustrate how our blended and straight-line billing procedures would
apply to a hypothetical client account containing a balance of $2,500,000:
• Blended Fee Basis: the client would pay 2.00% on the first $2,000,000 of the client's account
balance annually, and 1.70% on the remaining $500,000 of the client's account
balance annually.
• Straight-line Fee Basis: the client would pay 1.70% on the entirety of his $2,500,000 account
balance annually.
If our portfolio management agreement is executed at any time other than the first day of the
calendar quarter, our Management Fee will apply on a pro-rata basis. This means that our
Management Fee is payable only in proportion to the number of days in the calendar quarter
during which you are a client. Our Management Fee is negotiable, depending on individual client
circumstances.
At our discretion, we may combine the account values of family members living in the same
household to determine the applicable Management Fee. For example, we may combine account
values for you and your minor children, joint accounts with your spouse, and other types of related
accounts. Combining account values may increase the asset total, which may result in your paying a
reduced Management Fee based on the available breakpoints in our fee schedule stated above.
Sub-Advisory Arrangement: In cases were we use a sub-advisor to manage a portion of your
account, we pay a portion of our advisory fee to the sub-adviser and hence you will not pay a higher
fee as indicated in the above fee schedule or as negotiated under your Portfolio Management
Services Agreement with our firm.
Option Strategy via Sub-Advisory Arrangement: The option strategy fee is charged in arrears at
1.0 % on the notional value of the strategy that is in addition to any advisory fee on the underlying
assets in your account and is shared between us and the sub-adviser.
Third-Party Advisor Fees: Separate and apart from our Management Fee, where any portion of your
account is managed through a Third-Party Advisor, the Third-Party Advisor will charge you
additional fees in connection with its advisory services to your account ("Third-Party Advisor Fee"). In
some instances, particularly where the Third-Party Advisor is accessed through a TAMP
arrangement, the Third-Party Advisor Fee charged to your account may consist of a "wrap fee,"
wherein payment of a single fee covers the costs of advisory, custodial, and/or execution
services provided to you by the TAMP sponsor and/or its affiliates. In general, Third-Party Advisor
Fees shall be based on a percentage of the client's assets managed by the Third-Party Advisor and
are generally deducted directly from the client's account held at the qualified custodian on a
monthly or quarterly basis, in arrears. Third-Party Advisor Fees may or may not be negotiable,
depending on the particular Third-Party Advisor(s) utilized. Any Third-Party Advisor Fees charged to
your account shall be specifically set forth in the Third-Party Advisor's firm brochure and in separate
written advisory agreement executed by the client, the Third-Party Advisor, and in some instances,
our firm.

Generally, you may terminate your agreement with any Third-Party Advisor upon 30 days (or less)
written notice and you will incur a pro-rated Third-Party Advisor Fee for services rendered through
the date of termination. Any pre-paid and unearned Third-Party Advisor Fees will generally be
returned to you. You should review each Third-Party Advisor's firm brochure for specific information
on how you may terminate your advisory relationship with the Third-Party Advisor and how you may
