Item 5 – Fees and Compensation
For its investment advisory clients, BHKS may provide the following programs to each client:

           I.   BHK Investment Advisory
          II.   BHK Retirement Plan Consulting

I. BHK Investment Advisory
For the services provided to your Advisory Program Account, you will be charged an advisory fee
(“Advisory Fee”) plus Manager Fee(s) for each Manager selected within your Advisory Program Account
(“Manager Fee”). The Advisory Fee is charged for the services provided by BHKS and First Clearing. It
includes investment advisory services provided by BHKS, and execution, consulting and custodial services
provided by First Clearing. The Manager Fee is charged for the advisory services provided by the Managers
or Model Managers. BHKS negotiates the Manager Fee with each Manager or Model Manager based on
a variety of factors, including the nature and quality of the services to be provided by the Manager or
Model Manager. Manager Fees generally range from 0.0% to 0.50%. Different Managers have different
Manager Fees. Each Manager’s fee may change at any time. Manager Fee information is updated
periodically and is available at https://www.wellsfargoadvisors.com/pdf/third-party-ext-mgr-fee-
schedule.pdf or anytime upon request to your Financial Advisor. In a Multi Strategy Account, the
applicable Manager Fee rate applies to the assets within each respective strategy.

The Advisory Fee for the Personalized UMA Program, which is negotiable, is up to 2%. The specific manner
in which fees are charged by BHKS is established in a client’s written agreement. BHKS will bill its fees in
advance of service on a quarterly basis. Fees will be debited directly from the client’s account, are based
on the assets under management and in some instances, may be negotiated. Fees are in the form of an
annual rate that is calculated and assessed in advance on a quarterly basis. If an account is terminated
during a quarter, a prorated balance of the fees not earned will be refunded.

As previously noted, your Advisory Account will, in addition to the negotiable Advisory Fee reflected
above, be assessed Manager Fees that generally range from 0.0% to 0.50% for any Manager strategy
selected. For example, if a single Manager is selected to manage all of the assets in your Account and that
Manager assesses a 0.25% Manager Fee, your account would be assessed a 2.00% Advisory Fee and an
additional 0.25% Manager Fee.

The Advisory Fee includes program fees that are charged by First Clearing; clients are not charged
separately for program fees charged by First Clearing. However, First Clearing charges fees on a tiered
schedule, meaning BHKS’ expenses decrease as your account balance grows. This gives BHKS an incentive
to encourage you to increase your account balance—either by transferring more funds into your account
or by consolidating multiple accounts.

In a Multi Strategy Account, the applicable Manager Fee rate applies to the assets within each respective
strategy. For example, if Account assets were equally allocated between Manager A, which charges a
Manager Fee of 0.50% and Manager B, which charges a Manager Fee of 0.0%, the Account would be
assessed a 2.00% Advisory Fee and the asset- weighted Manager Fees would be assessed at an effective
0.25% fee rate at the Account level. If multiple Managers are selected, the asset-weighted average
Manager Fees will vary over time based on fluctuations in the relative value of assets allocated to each
strategy. As noted, individual Manager Fee information is updated periodically and is available at

to your Financial Advisor.

If any of your fee rates change intra-quarter, the new fee rate(s) will be applied starting on the next billing
event. The next billing event would be: (i) the next quarter; or (ii) the next instance in which you deposit
or withdraw cash from your Account if that occurs before the next quarter. When you withdraw or deposit
cash in your account, the new fee rate is used to calculate fees monthly in arrears for the partial billing
period until the next quarterly fee is assessed.

The account value is calculated as the market value of all long and short securities positions in the account.
Although the fees listed above are “default” fees, they may, in some circumstances, be negotiable. The
fee encompasses all transaction related costs associated with the execution of the transaction. The client
shall pay an initial fee from the account to BHKS on the date of acceptance of the contract based upon
the value of the account on the date of acceptance and prorated through the end of the calendar quarter.
Thereafter, the quarterly fee shall be paid to BHKS on the first business day of each succeeding calendar
quarter based upon the value of the account on the last business day of the prior calendar quarter. In the
case of a net capital contribution or withdrawal, fees will be prorated and charged or refunded if the net
addition or net withdrawal would generate a fee or refund of at least $40 for that quarter. No fee
adjustment will be made during any fee period for appreciation or depreciation in the market value of
assets in the account during that period. Accounts initiated or terminated during a calendar quarter will
be charged a prorated fee. Upon termination of any account, any prepaid, unearned fees will be promptly
refunded, and any earned, unpaid fees will be due and payable. The client will maintain or deposit
sufficient funds in the account to cover payment of all fees authorized by the contract and the client
authorizes BHKS and clearing firm to debit the account balances or redeem money market fund shares in
the amount equal to the fee that is due. If there are not funds to cover the fees, then BHKS may liquidate

BHKS provides portfolio management services to individuals, corporations and business entities, pension
and profit-sharing plans, charitable institutions, foundations, endowments, estates and trusts.

See the Program Disclosure Documents for more information about the Program fees and information
regarding minimum account sizes. The minimum account size may be different for IRA accounts. Under
certain limited circumstances, the minimum may be waived. The client should refer to the respective
manager’s Disclosure Document, as appropriate, to determine the minimum and maximum account sizes
permitted.
