Item 5 – Fees and Compensation

In certain circumstances, all fees, account minimums and their applications to family
circumstances are negotiable.

CWS pays a fee for FPAS services based on management fees paid to CWS on accounts that
use FPAS. The fee paid by CWS to FPAS consists of a portion of the fee paid by clients to CWS
and varies based on the total client assets administered and/or sub-advised by FPAS
through CWS. These fees are not separately charged to advisory clients.

The specific manner in which fees are charged by CWS is established in a client’s written
agreement with CWS. Investment Management and Employee Benefit Plan clients will be
invoiced in advance at the beginning of each calendar quarter based upon the value (market
value based on independent third party sources or fair market value in the absence of
market value, inclusive of cash and outstanding margin balances (if any)) of the client’s
account at the end of the previous quarter. Client account balances on which CWS calculates
fees may vary from account custodial statements based on independent valuations and
other accounting variances, including mechanisms for including accrued interest in account
statements. CWS only offers investments in readily available securities listed on a public
exchange. New accounts are charged a prorated fee based on the number of days the
account was open during the billing period.

For Investment Management and Employee Benefit Plan Services, CWS will request
authority from the client to receive quarterly payments directly from the client's account
held by an independent custodian. Clients may provide written limited authorization to
CWS or its designated service provider, FPAS, to withdraw fees from the account. Clients
will receive custodial statements showing the advisory fees debited from their account(s).
Certain third-party administrators will calculate and debit CWS’s fee and remit such fee to
CWS.

Clients have the right to terminate their agreement without penalty within five business
days after entering into the agreement if the client has not received Form ADV Part 2 within
48 hours of signing the agreement. A client agreement may be canceled at any time, by
either party, for any reason upon written notice. Upon termination of any account, any
prepaid, unearned fees will be promptly refunded.

CWS’s fees are exclusive of brokerage commissions, transaction fees, and other related costs
and expenses which shall be incurred by the client. Clients may incur certain charges
imposed by custodians, brokers, third party investment and other third parties such as fees

charged by managers, custodial fees, odd-lot differentials, transfer taxes, wire transfer and
electronic fund fees, and other fees and taxes on brokerage accounts and securities
transactions. Mutual funds and exchange traded funds also charge internal management
fees, which are disclosed in a fund’s prospectus. These fees will generally include a
management fee and other fund expenses. All fees paid to CWS for investment advisory
services are separate and distinct from the fees and expenses charged by mutual funds and
ETFs to their shareholders. Unmanaged or static client assets will not be included in the fee
calculation by CWS.

Such charges, fees and commissions are exclusive of and in addition to CWS’s fee, and CWS
shall not receive any portion of these commissions, fees, and costs.

Advisory Fees

Investment Management Services:

The annual fee for investment management services will be charged as a percentage of
assets under management, according to the schedule below:

             On the next $2,000,000                              0.75%
             On the next $2,000,000                              0.50%
            On all amounts thereafter                            0.35%

All accounts for members of the clients family (husband, wife and dependent children) or
related business are generally assessed fees based on the total balance of all accounts.

When providing investment management services, CWS requires a minimum annual fee
that typically ranges from $2,500 to $5,000 (applied quarterly). The minimum annual fee
applicable to a particular client will depend on the nature and complexity of the client’s
financial situation, and the specific analyses and services to be rendered to such client on
an ongoing basis. Such analyses and services can include, for example, retirement planning,
charitable gift planning, college planning, risk management counsel, and assistance with
assets outside of CWS’s direct management, among other things.

Lower fees for comparable services may be available from other sources.

The annual fee for plan services will be charged as a percentage of assets within the plan.

Item 7 – Types of Clients

CWS provides services to individuals, trusts, charitable organizations, businesses and
qualified retirement plans.

Generally, there is a minimum annual fee for investment management that ranges from
$2,500 to $5,000. A minimum of $500,000 is generally required for management services of
portfolios of individual fixed income securities. Minimum account sizes are negotiable
under certain circumstances.
