Item 5 - Fees and Compensation
In connection with our SMAs, we are generally compensated on the basis of fees calculated as a percentage of the total
Mandate AUM. Subject to the terms of the applicable Governing Documents, such fees are generally charged quarterly in
arrears, based on the actual busin+ess daily Mandate AUM for the three months comprising the respective quarter.
Advisory fees are either deducted pursuant to Client authorization or paid directly by the Client as indicated in the
respective Governing Documents. The fees below represent the typical advisory fees charged to our SMAs. In connection
with our ’40 Act Funds, for investment adviser supervisory services provided to the ’40 Act Funds, Convexitas receives a
fee, computed daily and payable monthly, at the annual rate of a specified percentage, indicated below, of the Fund’s
average daily net assets:

*Convexitas acts as subadvisory for a series of six ETFs in the IncomeSTKd series. As of Jan 20, 2026 the “1X Bitcoin and 1X
Gold Premium ETF and 1x US Stocks and 1X Bitcoin Premium ETF have been launched. Convexitas is also a 10% co-sponsor
of the IncomeSTKd series
**This is the total fund fee, not all of which is Convexitas’ subadvisory fee. This total fund fee includes the management
fees to the Advisor and other Subadvisors. Convexitas’ subadvisory fees are listed separately and are included in the total
fee. As a 10% co-sponsor, Convexitas is also entitled to 10% of earnings from fees after fund expenses and shares in 10%
of the fund’s operating costs.
The Adviser has agreed to reduce its unitary management fee to 1.14% through at least March 31, 2027. This agreement
may be terminated only by, or with the consent of the Board of Trustees (the “Board”) of Tidal Trust II, (the “Trust”), on
behalf of the Fund, upon sixty (60) days written notice to the Adviser.
For a complete explanation of the management fees Convexitas receives for its role as investment adviser to the Convexitas
Fund, and factors that may reduce the fees received, please refer to the Tidal Trust II prospectus and statement of
additional information (“SAI”). Information on all investor fees and expenses, if applicable, is also available within the
prospectus and the SAI. The advisory contract between Convexitas and the Trust can be terminated without penalty by
the Fund, generally upon 60 days’ notice, and terminate automatically upon assignment, as defined in the 1940 Act.
The Firm reserves the right to reduce, waive, or negotiate our advisory fees at our discretion.
SMA Clients can generally terminate their agreement(s) with Convexitas with written notice. Upon termination, any fees
are paid through the date of termination. Clients will incur brokerage and other transaction costs; please see Item 12 for
additional information regarding the Firms’ brokerage practices. |

Item 7 - Types of Clients Convexitas provides investment advice to Clients, which include SMAs ’40 Act Funds. The Firms SMA Clients generally are other investment managers whose clients include individuals and/or entities, such as high net worth individuals, corporations and other businesses, foundations, pooled investment vehicles, and trusts. Beginning an investment advisory relationship with us is typically subject to a minimum mandate AUM of $10,000,000 for direct relationships with possibly lower minimums for advisors who provide an opportunity for multiple sub-advised SMA relationships. The ’40 Act Funds can be purchased on US stock exchanges. |
