Item 5 ‐ Fees and Compensation
Method of Compensation and Fee Schedule
All fees will be spelled out clearly in writing — and agreed to by you, your Advisor, and Horizons — in the
“Client Services Agreement” or “Client Investment Advisory Agreement” and any applicable “Separate
Account Manager Addendum”.
Hourly Fees
We can be engaged for financial planning and investment consultation services under an hourly fee
arrangement. The hourly rate is up to $500 per hour, billed in 15‐minute increments (four increments per
hour); any partial increment (e.g., eight minutes) will be treated as a whole increment.
The hourly fee rate will take into consideration such factors as the expertise dedicated to the engagement
and any special services you can or will require. Prior to entering into an agreement with the firm you will
receive an estimate of the fee range based on your plan requirements.
Asset‐Based Fees
Our primary source of compensation is from fees charged for discretionary investment management. These
fees are calculated based on the amount of assets managed for clients, the types of services provided, and
Horizons’s arrangements with our custodial partners.
Most of our clients will pay three types of fees: Advisory Service Fees, Manager Fees, and Platform Fees.
All three types are assessed as an annualized asset‐based fee, calculated based on the reporting period ending
value of your account, and billed quarterly in advance.
Advisory Service Fees
Our Advisory Service Fees are calculated as described in the following table.

These fees will be collected by Horizons, and shared with your Advisor. These fees compensate Horizons and
your Advisor for the work we do on your behalf every day.
Manager Fees: Investment Management Services
In providing discretionary investment advice to clients on the Goldman Sachs Custodial Solutions platform,
Horizons may use investment models developed by third-party “Model Managers” that are compensated
based on the dollar value of assets “subscribed” to the model(s) used. These fees range from 0% to 0.50%, and
are charged as a flat fee to each account. They are collected by Horizons and paid to the Model Managers.
Similarly, in providing discretionary investment advice to clients on the Schwab Institutional platform,
Horizons may implement the investment strategies of third-party “Separately Managed Account” (“SMA”)
managers that are compensated based on the dollar value of assets managed in the client accounts. These fees
range from 0.25% to 1.00%, depending on the manager and strategy, and are charged as a flat fee to each
account. They are usually collected by the SMA managers directly.
These Model Manager and SMA fees are detailed in each client’s initial Separate Account Manager
Addendum, mentioned above.
Many of our clients also have portfolios at least partly invested in mutual funds. The mutual funds we use
have internal expenses, such as portfolio management, legal and accounting, printing, marketing, trading
costs, and other administrative expenses, including fees paid to custodians. Fund expenses are more fully
disclosed in each mutual fund prospectus. They are accounted for and charged internally by the mutual funds.
In all these cases, these manager fees are not shared with Horizons, any affiliate of Horizons, or your
Advisor.
Platform Fees: Custody and Clearing Fees
Rather than charge our clients fees for every transaction, no matter how small, Goldman Sachs Custodial
Solutions charges a quarterly “Custody and Clearing” or “Brokerage” fee to compensate them for undertaking
the transaction management process. That fee is calculated as described in the following table.

This fee is the sum of the fees charged for each tier, OR the “Minimum Quarterly Brokerage Fee” ($25 per
quarter), whichever is greater.
Accounts held at Schwab Institutional are charged no such fees.
Incidental Fees
In addition to the fees above, clients are still responsible for any special fees incurred at the client’s request,
such as wire transfer fees, etc., which are charged and disclosed by Goldman Sachs Custody Solutions. These

Item 7 ‐ Types of Clients We provide our advisory services to individuals, high net worth individuals, trusts, estates; foundations and charitable organizations; businesses of various scale as well as their pension and profit‐sharing plans. Horizons does not require minimum income levels, minimum level of assets or other conditions for its services, nor do the sub‐ advisers we recommend to you, based on Horizons’ agreement with the sub‐adviser. We also reserve the right to decline services to any prospective client for any legal non‐discriminatory reason. |
